Russell 2000 Rules During Record Setting Week – $DIS $F $FATE $NVDA $PFE $TSLA Rise

Happy Weekend All!

I hope that you all had a wonderful week and that your investment accounts all increased beyond your expectations once again as the broad markets experienced a record setting week. The small caps on the Russell 2000 led all indices jumping an amazing 6.1% while closing at 2,437.08 and is now up 23.4% YTD. The S&P 500 also closed at 4,697.53 (+2%) setting a another new record high & is now up 25.1% YTD, the Dow 30 closed at 36,327.95 (+1.4%) also setting a new record high & is now up 18.7% YTD, and the Nasdaq experienced another strong week and closed at 15,971.59 (+3.1%) and is now up 23.9% YTD. The MicroCaps also powered forward as the iShares Micro-Cap ETF (IWC) closed at $156.29, +5.93% for the week, and is up +31.72% YTD. 9 of the 11 sectors finished the week in the green, with the communication discretionary, information technology & the materials sectors leading the way, both with 5-3% gains, while the two that dropped were the health care sector that was hampered by price control government discussions and the financials sector which saw interest rates retreat with t10-yr yield closing at 1.45%, down another 11 basis points wk/wk and the 2-yr yield closed at .49%, up 2 basis points. 

A myriad of bullish oriented drivers surfaced this week, including arguably the most important one that was made by the Fed who decided to keep interest rates near zero, while also committing to taper net asset purchases by $15B this month; moves that were somewhat expected. The Fed also reemphasized that in order for rates to be raised, we would need to reach maximum employment, while also restating that inflation pressures are truly transitory at best. In addition, a number of quarterly earnings reports continued to roll in this week from marquis names with the vast majority exceeding expectations including NVIDIA (NVDA) & Qualcomm (QCOM). Also, making the market and possibly the world feel safer,  Pfizer (PFE) stated that its COVID-19 oral antiviral interim data proved to reduce the risk of hospitalization or death by 89% and its shares rose $48.61, +10.86% on Friday.

A number macroeconomic reports also surfaced including the ISM Non-Manufacturing Index report for October, which confirmed a rise to 66.7%, while the factory orders for manufactured goods report confirmed a rise by .2% M/M in September. The ADP Employment Change report approximated that 571k jobs were added to private-sector payrolls in October. The IHS Markit Services PMI report confirmed a rise to 58.7 in the final reading for October. The weekly MBA Mortgage Applications Index report confirmed drop by 3.3%. The weekly crude oil inventories was confirmed to have risen by 3.29M barrels (a rise for a second consecutive weeks) & OPEC+ agreed to keep their current production schedule in place though December and oil prices fell 2.5% weekly to close at $81.52/bbl, but are still up 68% YTD. On Thursday, the Initial jobless claims for the week ending October 30 fell by 14k to 269k, while continuing claims for the week ending October 23 fell by 134k to 2.105 million. However, Q3 productivity dropped by 5%, while unit labor costs jumped by an annual rate of 8.3%. The September trade deficit also worsened coming in a record $80.9B. On Friday, the October nonfarm payrolls rose by 531k. The 3-month average for total nonfarm payrolls fell to 442k , while September nonfarm payrolls were revised to 312k. October private sector payrolls rose by 604k & September private sector payrolls were revised to 365k. the October unemployment rate came in at 4.6%, while persons unemployed for 27 weeks or more accounted for 31.6%. The U6 unemployment rate was 8.3% down from September. October average hourly earnings rose by .4%. Over the last 12 months, average hourly earnings have risen 4.9%. The average workweek in October was 34.7 hours & the manufacturing workweek slipped by .1 hours to 40.3 hours & factory overtime fell equally by .1 hours to 3.2 hours. Consumer credit also rose by $29.9B in September.

The U.S. Dollar Index ticked higher to end at 94.20 moving up from the 94.13 mark last week.

Next week, the macroeconomic schedule will serve the inflation data report and the hourly earnings report.


EV, TECH, CONSUMER

Apple (AAPL) closed at $151,28, +.99% over the last 5-days. On Oct. 28th Apple® announced financial results for its fiscal 2021 fourth quarter ended September 25, 2021 and reportedly falling short of Wall Street’s expectations. The Company posted a September quarter revenue record of $83.4 billion, up 29 percent year over year, and quarterly earnings per diluted share of $1.24. Tim Cook, Apple’s CEO stated, “This year we launched our most powerful products ever, from M1-powered Macs to an iPhone 13 lineup that is setting a new standard for performance and empowering our customers to create and connect in new ways. We are infusing our values into everything we make — moving closer to our 2030 goal of being carbon neutral up and down our supply chain and across the lifecycle of our products, and ever advancing our mission to build a more equitable future.” Luca Maestri, Apple’s CFO stated, “Our record September quarter results capped off a remarkable fiscal year of strong double-digit growth, during which we set new revenue records in all of our geographic segments and product categories in spite of continued uncertainty in the macro environment. The combination of our record sales performance, unmatched customer loyalty, and strength of our ecosystem drove our active installed base of devices to a new all-time high. During the September quarter, we returned over $24 billion to our shareholders, as we continue to make progress toward our goal of reaching a net cash neutral position over time.” Apple’s board of directors has declared a cash dividend of $0.22 per share of the Company’s common stock. The dividend is payable on November 11, 2021 to shareholders of record as of the close of business on November 8, 2021.

Shares of IronNet, Inc. (IRNT), an innovative leader transforming cybersecurity through Collective Defense, closed at $11.22 rose +26.40%, Recently, IronNeet announced that it has joined the Microsoft Intelligent Security Association (MISA), a nomination-only association, demonstrating IronNet’s long-term commitment with Microsoft to deliver better security solutions to customers. As a Microsoft partner, IronNet, through its innovative Collective Defense platform, empowers Microsoft customers to execute safe and seamless migrations to the cloud amidst the increasing volume of highly-aggressive and sophisticated cyberattacks. IronNet Founder and Co-CEO, General (Ret.) Keith Alexander, “As we continue to see an increase in malicious cyberattacks against both the public and private sectors, we are pleased to join the Microsoft Intelligent Security Association to advance how we defend together. MISA’s mission directly aligns with our mission at IronNet: to develop integrated and innovative ways to better defend together against an evolving cyber threat landscape.” Shares if IRNT jumped to $16.34, +58.64% after hitting intraday high of $17 share on Wednesday. Our same day purchased Feb 18, 2020 $20 calls ran from $.60 to well over $3 that day. 

Amazon (AMZN) closed at $3,518.99, +4.35% for the week. Recently, Amazon announced their financial results for its third quarter ended September 30, 2021 missing expectations as they continued to make investments across their massive platform, etc. Operating cash flow decreased 1% to $54.7 billion for the trailing twelve months, compared with $55.3 billion for the trailing twelve months ended September 30, 2020. Free cash flow decreased to $2.6 billion for the trailing twelve months, compared with $29.5 billion for the trailing twelve months ended September 30, 2020. Free cash flow less principal repayments of finance leases and financing obligations decreased to an outflow of $8.8 billion for the trailing twelve months, compared with an inflow of $18.4 billion for the trailing twelve months ended September 30, 2020. Free cash flow less equipment finance leases and principal repayments of all other finance leases and financing obligations decreased to an outflow of $3.9 billion for the trailing twelve months, compared with an inflow of $17.9 billion for the trailing twelve months ended September 30, 2020. Common shares outstanding plus shares underlying stock-based awards totaled 523 million on September 30, 2021, compared with 518 million one year ago. Net sales increased 15% to $110.8 billion in the third quarter, compared with $96.1 billion in third quarter 2020. Excluding the $0.5 billion favorable impact from year-over-year changes in foreign exchange rates throughout the quarter, net sales increased 15% compared with third quarter 2020. Operating income decreased to $4.9 billion in the third quarter, compared with $6.2 billion in third quarter 2020. Net income decreased to $3.2 billion in the third quarter, or $6.12 per diluted share, compared with $6.3 billion, or $12.37 per diluted share, in third quarter 2020. “We’ve always said that when confronted with the choice between optimizing for short-term profits versus what’s best for customers over the long term, we will choose the latter—and you can see that during every phase of this pandemic,”said Andy Jassy, Amazon CEO. 

VP Watchlist company Tesla (TSLA) closed $1,222.09, +9.7% over the last 5-days & is valued at $1.23T. On Oct 25, Hertz’ (HTZZ, $27.01, -1.06%) announced that they are making a significant investment to offer the largest EV rental fleet in North America and one of the largest in the world, which includes an initial order of 100,000 Tesla’s (+$4B investment) by the end of 2022 and new EV charging infrastructure across the company’s global operations. However, this week Elon Musk apparently stated that there is no signed contract with Heartland that it would not have any economic impact. Last week, Tesla also released its financial results for the third quarter of 2021 they topped estimates but this win was a surprise. Tesla’s revenues came in at $13.76 billion vs. $13.91 billion expected, $8.77 billion Y/Y & Adjusted earnings per share came in at $1.86 vs. $1.67 expected, 76 cents Y/Y. Tesla also reconfirmed the company’s guidance that it will achieve 50% average annual growth in vehicle deliveries over a stated multi-year horizon.

Shares of Ford (F) closed at $19.29, +12.94% over the last 5-days. On Oct, 27, Ford Motor Company (F) reported its 2021 third quarter financial results after the markets closed. Ford generated quarterly revenue of $35.7 billion, net income of $1.8 billion, adjusted EBIT of $3.0 billion; North America auto EBIT margin of 10.1%/. Ford increased guidance for full-year 2021 adjusted EBIT to between $10.5 billion and $11.5 billion & expects cash flow over current planning period to be more than sufficient to fund growth priorities; announces resumption of regular stock dividend in fourth quarter. Shares of Ford have trade up to $16.85, +8.58% in the aftermarkets!

Shares of Lucid Group (LCID) jumped 13%% over the last 5-days to close at $41.80. Lucid will host a conference call to discuss its third quarter 2021 results on Monday, November 15, 2021 at 2:00 pm PT / 5:00 pm ET. The company will issue an earnings press release with the dial-in number and a link to the live webcast on its investor relations website at ir.lucidmotors.com prior to the conference call. Lucid’s mission is to inspire the adoption of sustainable energy by creating the most captivating electric vehicles, centered around the human experience. The company’s first car, Lucid Air, is a state-of-the-art luxury sedan with a California-inspired design underpinned by race-proven technology. Lucid Air features a luxurious full-size interior space in a mid-size exterior footprint. Customer deliveries of Lucid Air, which is produced at Lucid’s new factory in Casa Grande, Arizona, will begin on October 30, 2021.

Facebook (FB) closed at $341.13, +5.43% this week. On Oct. 25,  Facebook, Inc. (Nasdaq: FB) reported financial results for the quarter ended September 30, 2021. “We made good progress this quarter and our community continues to grow,” said Mark Zuckerberg, Facebook founder and CEO. “I’m excited about our roadmap, especially around creators, commerce, and helping to build the metaverse.” Facebook daily active users (DAUs) – DAUs were 1.93 billion on average for September 2021, an increase of 6% year-over-year, Facebook monthly active users (MAUs) – MAUs were 2.91 billion as of September 30, 2021, an increase of 6% year-over-year, Family daily active people (DAP) – DAP was 2.81 billion on average for September 2021, an increase of 11% year-over-year, Family monthly active people (MAP) – MAP was 3.58 billion as of September 30, 2021, an increase of 12% year-over-year, Capital expenditures – Capital expenditures, including principal payments on finance leases, were $4.54 billion for the third quarter of 2021, Share repurchases – We repurchased $14.37 billion of our Class A common stock in the third quarter and had $7.97 billion remaining on our prior share repurchase authorization as of September 30, 2021. We also announced today a $50 billion increase in our share repurchase authorization, Cash and cash equivalents and marketable securities – Cash and cash equivalents and marketable securities were $58.08 billion as of September 30, 2021, &  Headcount was 68,177 as of September 30, 2021, an increase of 20% year-over-year. On Oct. 28th, at Connect 2021, CEO Mark Zuckerberg introduced Meta the new name for Facebook, which he represented brings together their apps and technologies under one new company brand. Meta’s focus will be to bring the metaverse to life and help people connect, find communities and grow businesses. The metaverse will feel like a hybrid of today’s online social experiences, sometimes expanded into three dimensions or projected into the physical world. He further suggests, that will let you share immersive experiences with other people even when you can’t be together — and do things together you couldn’t do in the physical world. It’s the next evolution in a long line of social technologies, and it’s supposedly ushering in a new chapter for their company. Mark shared more about this vision in a founder’s letter.Facebook announced that it is changing its name to stock trading symbol to MVRS on Dec. 1, 2021. 

Microsoft (MSFT) closed at $336.06, +1.34% for the week and boasts the largest market cap on the planet at a monster $2.52T! Last week, Microsoft released their Q1 2022 fiscal earnings report. Here are a few of the numbers from the report: Revenue: $45.3 billion versus $43.93 billion expected, Earnings per share: $2.71 versus $2.07 expected, Intelligent Cloud: $16.98 versus $16.58 billion expected, & Productivity & Business processes: $15.04 versus $14.70 billion expected. Satya Nadella, chairman and chief executive officer of Microsoft stated, “Digital technology is a deflationary force in an inflationary economy. Businesses – small and large – can improve productivity and the affordability of their products and services by building tech intensity. The Microsoft Cloud delivers the end-to-end platforms and tools organizations need to navigate this time of transition and change.”

Dow 30 component and global leader in CRM, salesforce.com (CRM), closed at $307.25, +2.52% this week after establishing an all-time new high of $311.38. Recently, Marc and Lynne Benioff announced $200 million in new climate investments toward reforestation and restoration efforts—establishing the first-of-its-kind $100 million Benioff TIME Tree Fund and committing $100 million in investments from TIME Ventures, the Benioffs’ investment fund. Salesforce to give $100 million funding in grants over the next 10 years to nonprofits working on ecosystem restoration and climate justice, donate technology through the Power of Us program, and enable volunteers to deliver 2.5 million volunteer hours to organizations focused on climate action. On Oct. 21, NVIDIA announced its next-generation cloud gaming platform — delivering GeForce RTX™ 3080-class gaming on GeForce NOW™ — available exclusively in a new, high-performance membership tier. The GeForce NOW RTX 3080 membership tier provides gamers with access to the greatest-ever generational leap in GeForce® history, delivering cloud gaming’s highest resolutions and fastest frame rates, paired with the lowest latency. On September 23, salesforce announced a revision to its Fiscal Year 2022 revenue guidance and initiation of Fiscal Year 2023 guidance as of Sept. 23, 2021. The raised FY22 revenue guidance to a range of $26.25 billion to $26.35 billion. 

NVIDIA Corporation powered upward this week to close at $297, +16.37% for the week after beating expectations. Highlights included: Record revenue of $6.51 billion, up 68 percent from a year earlier, Record Gaming revenue of $3.06 billion, up 85 percent from a year earlier, & Record Data Center revenue of $2.37 billion, up 35 percent from a year earlier. The Technology Select Sector SPDR Fund (XLK) closed at $167.08, +3.44% for the week.

DISNEY

Disney (DIS) closed at $175.63, +3.14% for the week. BIOTECH & HEALTHCARE

The biotech indices experienced volatility again starting the week strongly but ended a sour note on Friday. The Nasdaq Biotechnology ETF (IBB) closed at $156.94, -1.67% for the week, now up 3.6% YTD. The NYSE ARCA Biotech Index (^BTK) closed at 5,616.46, -2.42% for the week and is now down -2.14% YTD. The SPDR S&P Biotech ETF (XBI) on the other hand closed at $131.32, +5.22% for the week and is off 6.72% for the year. The XBI’s 52-wk range is $118.23-$174.79.  

Recently,  Atossa Therapeutics (ATOS) recently released a short video message recognizing Breast Cancer Awareness Month, and urging women to get mammograms. In the video message, which can be found on Atossa’s website here, Dr. Quay cites that the global pandemic “changed everything” with regard to breast cancer screening, indicating that many women have ceased to seek out their mammograms since the initial COVID-19 outbreak. This is corroborated in an article in the October 2021 issue of the peer-reviewed medical journal, Preventative Medicine, which indicated this was a particular problem in women of color and those who fall in the lower income brackets. On October 23, Dr. Steven Quay CEO of Atossa Therapeutics (NASDAQ: ATOS) published an interesting and informative video called “Long COVID Is An important Issue.” You may view by clicking here now.

Health Care Select Sector SPDR (XLV) jumped this week to close at $132.86, -.72% over the last 5-days. 

Progenity, Inc. (PROG) closed at $3.52. Progenity is a biotechnology company innovating in the fields of women’s health, gastrointestinal health, and oral biotherapeutics. Progenity applies a multi-omics approach, combining genomics, epigenomics, proteomics, and metabolomics to its molecular testing products and to the development of a suite of investigational ingestible devices designed to provide precise diagnostic sampling and drug delivery solutions. Progenity’s vision is to transform healthcare to become more precise and personal by improving diagnoses of disease and improving patient outcomes through localized treatment with targeted therapies. Today Progenity announced the appointment of Jill Howe to its board of directors effective November 3, 2021. Ms. Howe was also appointed chairperson of the Audit Committee and member of the Nominating and Corporate Governance Committee.  Jill Howe stated, “It’s an exciting time for Progenity as there is incredible depth and potential in the R&D pipeline. I look forward to working with the team to ensure the company’s potential is valued.” Progenuity will report earnings on November 10th after the close at 4:30pm ET.

GOLD & SILVER MOVE HIGHER

Gold prices closed at $1,820, +$35 for the week & silver prices closed at $24.22, +$.28/oz for the week.

MEMES REPORT

AMC Entertainment (AMC) closed at $41.79, 17.90% over the last 5-days. AMC Theaters, the largest theatrical exhibitor in the United States, in Europe & the Middle East and in the world, announced this week that it is again rewarding its self-identified shareholders through AMC Investor Connect. Existing and new participants who sign up by year-end in AMC Investor Connect will be encouraged to come to AMC movie theatres in the United States in November, December, or January with the offer of another Free Large Popcorn, useable with the purchase of a ticket. This is the second time AMC has made such an offer to its shareholders. The first such time started in June of 2021, with that free large popcorn offer valid through October 31.

GameStop (GME) closed at $213.25,+16.21% for the week. 

Seanergy Maritime Holdings Corp. (NASDAQ: SHIP) closed at $1.09, -1.8% for the week after announcing its financial results for the third quarter ended September 30, 2021. Highlights of the Third Quarter of 2021: Gross revenues: $50 million in Q3 2021, as compared to $20.4 million in Q3 2020, up 146%, Net Income: $20.1 million in Q3 2021, as compared to $3.6 million in Q3 2020, up 459%, EBITDA1: $30.1 million in Q3 2021, as compared to $12.7 million in Q3 2020, up 137%, Adjusted EBITDA1: $32.2 million in Q3 2021, as compared to $7.8 million in Q3 2020, up 312%.

We believe the novel non-invasive white matter analytics of white matter free water and apparent fiber density will be very useful in the development of XPRO™ in AD, Treatment Resistant Depression (TRD) and the many other CNS indications we hope to attack in the future. Last month, we treated the first patient in the first Phase 1 clinical trial of our NK cell priming platform, INKmune, in high-risk myelodysplastic syndrome (MDS).     • On July 22, LUMICKS, a leading next generation life science tools company renowned for its innovative platforms for Dynamic Single-Molecule and Cell Avidity analysis, announced that it has installed its ground-breaking z-Movi® Cell Avidity Analyzer at INmune Bi0. INmune Bio is employing the z-Movi cell avidity analysis platform to demonstrate that the mechanism of action of the tumor-priming is the increase in NK cell:tumor cell avidity. Early data acquired by the z-Movi support their hypothesis that increased cell avidity enhances NK cell killing of tumor cells. This allows screening of batches of INKmune for potency and provides a potential biomarker of in vivo activity by measuring the tumor avidity of NK cells isolated from patients before and after INKmune treatment.
    • On July 14th, INmune Bio announced that it has entered into a definitive agreement with one healthcare focused institutional investor and one family office for the purchase and sale of 1,818,182 shares of its common stock at a price of $22 per share for gross proceeds of approximately $40 million in a registered direct offering. The closing of the offering is expected to occur on or about July 16, 2021, subject to the satisfaction of customary closing conditions. A.G.P./Alliance Global Partners is acting as the sole placement agent for the offering. INmune Bio intends to use the net proceeds from this offering for working capital and general corporate purposes and to advance the development of its product candidates and expand its pipeline.     • On July 12th,  INmune Bio, Inc. announced that the first patient has been treated in the company’s Phase 1 clinical trial of its Natural Killer (NK) cell priming platform, INKmune, as a potential treatment for high-risk myelodysplastic syndrome (MDS). This Phase 1 open label study will enroll nine patients with a confirmed diagnosis of MDS with excess blasts in a 3×3 dose escalation protocol. The primary endpoint is the safety and tolerability of INKmune when administered intravenously. Most secondary endpoints are biomarkers and include the change in percentage of blasts in peripheral blood and bone marrow, the change in autologous NK cell activity and functional maturity into tumor-induced memory-like NK cells in vivo.     • On June 14th, INMB announced that it had entered into a new $15M credit facility with Silicon Valley Bank (SVB) and an affiliate of SVB Financial Group. INmune intends to use the proceeds from the facility to partially fund the buyout of an option held by Xencor, Inc.(XNCR), resulting from INmune’s in-licensing of XPro1595 (now known by its generic name, pegipanermin) in October 2017. XPro1595 is a next-generation inhibitor of tumor necrosis factor (TNF) that uses a dominant-negativeTNF technology that is very different from approved TNF inhibitors that block the effects of both soluble and trans-membrane TNF. Pegipanermin neutralizes soluble TNF, without affecting trans-membrane TNF or TNF receptors. XPro1595 could have substantial beneficial effects in patients with Alzheimer’s and other neurodegenerative diseases by decreasing neuroinflammation. Total consideration to be paid to Xencor by INmune is $18.3 million, comprised of $15 million of cash and $3.3 million of INMB shares at a price of $17.14 resulting in the issuance of 192,533 shares. Pursuant to the original 2017 in-licensing agreement, INmune granted Xencor an option to purchase an additional number of shares of common stock equal to 10% of INmune’s fully diluted company shares for a period of seven years.     • On September 30, INmed announced that it has commenced its Phase 2 clinical trial of INM-755 (cannabinol) cream in the treatment of Epidermolysis Bullosa (“EB”). This marks the first time cannabinol has advanced to a Phase 2 Clinical trial to be studied as a therapeutic option to treat a disease. This study will be taking place at eleven sites across seven countries including Austria, Germany, Greece, France, Italy, Israel and Serbia. Clinical Trial Applications (“CTAs”) have been filed in all participating countries with regulatory authority and ethics committee approvals currently in place in four countries (Austria, France, Greece, Israel). The first site initiation visit was completed at a clinical site in Austria, where screening for eligible patients will begin shortly. “The start of this Phase 2 clinical trial represents a very important step forward to test the efficacy of INM-755 (cannabinol) cream in treating epidermolysis bullosa, a disease that has very few treatment options,” stated Alexandra Mancini, Senior Vice President of Clinical and Regulatory Affairs at InMed. “Based on our earlier studies, we are hopeful that our cannabinol cream will prove to be a safe and effective treatment for people living with this severe genetic skin disease.”

Wainwright & Co. acted as the exclusive placement agent for the private placement. Under the terms of the private placement, an aggregate of 4,036,327 common shares (or common share equivalents in lieu thereof) and warrants to purchase up to an aggregate of 4,036,327 common shares were purchased, at an effective purchase price of US$2.973 per common share (or common stock equivalent in lieu thereof) and associated warrant. The warrants have an exercise price of US$2.848 per share, are exercisable immediately and have a term of five years.     • On Thursday, June 17th, InMed Pharmaceuticals (NASDAQ: INM) announced that its continued optimization of IntegraSyn™ has increased the cannabinoid yield to a level of 5 g/L, further improving the economics of this proprietary manufacturing approach in advance of large-scale production. InMed’s cannabinoid yield of 5 g/L significantly exceeds currently reported industry yields.     • On Nov 4, FATE reported business highlights and financial results for the third quarter ended September 30, 2021.     • On Oct. 1, Fate announced that one oral and four poster presentations for the Company’s induced pluripotent stem cell (iPSC) product platform were accepted for presentation at the 36th Annual Meeting of the Society for Immunotherapy of Cancer (SITC) being held November 10-14, 2021. The oral presentation will highlight preclinical data for FT536, the Company’s off-the-shelf, multiplexed-engineered, iPSC-derived, chimeric antigen receptor (CAR) NK cell product candidate that uniquely targets the α3 domain of the MHC class I related proteins A (MICA) and B (MICB). In a recent publication in Cancer Immunology Research (DOI: 10.1158/2326-6066.CIR-19-0483), Kai W. Wucherpfennig, M.D., Ph.D., Chair of the Department of Cancer Immunology and Virology at the Dana-Farber Cancer Institute and co-leader of the Cancer Immunology Program at Dana-Farber / Harvard Cancer Center, demonstrated that cancers with loss of MHC Class I expression can be effectively targeted with MICA/B α3 domain-specific antibodies to restore NK cell-mediated immunity against solid tumors. The FT536 program is supported by an exclusive license from the Dana-Farber Cancer Institute to intellectual property covering novel antibody fragments binding MICA/B for iPSC-derived cellular therapeutics. The Company expects to submit an Investigational New Drug (IND) application for FT536 in the fourth quarter of 2021 for the treatment of advanced solid tumors, including in combination with monoclonal antibody therapy.
    • On September 15, Fate Therapeutics announced the publication of preclinical data demonstrating that its off-the-shelf, multiplexed-engineered, iPSC-derived NK cell product candidate FT538 exhibits significantly enhanced serial killing and functional persistence compared to peripheral blood NK cells. The superior anti-tumor activity of FT538 was attributable to its novel engineered components, including the knockout of CD38 and the expression of IL-15/IL-15R fusion protein, which were shown to improve metabolic fitness, increase resistance to oxidative stress, and induce transcription of proteins that control NK cell activation and effector function. The data were published in Cell Stem Cell in an online article entitled “Harnessing features of adaptive NK cells to generate iPSC-derived NK cells for enhanced immunotherapy”.

    • On Oct. 1, INVO announced that it has entered into definitive agreements with institutional and accredited investors and members of INVO Bioscience’s management team to purchase 1,240,763 shares of its common stock at a purchase price of $3.26 per share, in a registered direct offering priced at-the-market under Nasdaq rules, for gross proceeds of approximately $4.0 million. The registered direct offering is expected to close on or about October 5, 2021, subject to the satisfaction of customary closing conditions.
      • The group of investors includes members of INVO Bioscience’s management team, including Steve Shum, CEO, and Andrea Goren, CFO. Paulson Investment Company, LLC is acting as the exclusive placement agent for the offering. The gross proceeds from the offering are expected to be approximately $4.0 million, before deducting placement agent’s fees and other offering expenses.       • Also, on Oct. 1, INVO entered into a separate Stock Purchase Agreement with Paradigm Opportunities Fund, LP an accredited institutional investor, pursuant to which we will issue to such investor 600,703 shares of their common stock, par value $0.0001 per share for a purchase price of $3.329 per share for an aggregate purchase price of $1,999,740.29. This transaction is set to close on November 30, 2021. The Shares will be issued under the exemption from registration under Section 4(a)(2) and/or Rule 506 of the Securities Act of 1933, as amended. The Purchase Agreement contains a $250,000 break-up fee whereby if either party fails to close, it will be required to pay the non-breaching party a fee of $250,000.     • On September 9th, INVO Bioscience announced that it has completed the acquisition of a Canadian-based entity that was originally formed to offer INVOcell in Canada. The entity had previously completed a number of important procedures and documentation necessary to establish INVOcell within clinical operations in Canada. INVO Bioscience anticipates leveraging this entity to advance the distribution of INVOcell, and take advantage of the existing product registration which approved the device for sale based on 5-day incubation in the Canadian market. As we look to the remainder of 2021, we have set a number of key objectives, including the opening of our first company-owned clinics in Mexico and the United States. Additionally, we will seek to build our international revenues this year through our growing list of international distribution partners as they finish training, and we complete local product registration requirements. Of note, we are extremely pleased to see the initial INVO procedures performed recently in Spain and Malaysia, which reflects the groundwork done by our team in these specific markets, which we believe will help in further expanding the overall awareness of the potential outside of the U.S. Finally, we are continuing to advance our 5-day label expansion efforts with the FDA in the U.S. market with a goal of completing this effort in 2021. It remains our belief that there is strong global demand for fertility services and INVOcell is well-positioned through our growing, global footprint to play a key role in helping to turn the dream of creating a family for millions of people around the world into a reality through our accessible, efficient, and affordable fertility treatment.”
    • On May 11, a 13G was filed that confirms that David Sable’s (a former #IVF doc turned portfolio manager) Special Situations Fund of AWM Investment Company increased their ownership to 11.1% or 1,154,153 share ownership of INVO Bioscience (INVO). They held 625k/6.5% as of the 13G filing 2-12-2021. If you are not familiar with them, I believe if you do a relatively small amount sleuthing you will find out that they are one of the most successful multi-billion funds over the last 20-years, especially in finding small undiscovered microchips. I believe that they led the round of $13M at $3.20 a share in November 12, 2020 that pushed INVO uplist to the NASDAQ. Here’s the 13G filing. The company only has 10,424,229 shares issued and outstanding as of March 31, 2021.
    • Industry forecasts suggest that only 1% to 2% of the estimated 150 million infertile couples worldwide are currently being treated. INVO’s mission is to increase access to care and expand infertility treatment across the globe with a goal of improving patient affordability and industry capacity. Since January 2019, INVO Bioscience has signed commercialization agreements in the United States, India, as well as parts of Africa and Eurasia and Mexico for the INVOcell device.
