Happy Tuesday!
The large cap indices moved forward again on its relatively strong legs to end in the green. The S&P 500 closed at 4,574.79 (+.18%), the Dow 30 closed at 35,756.88 (+.04%), & the Nasdaq also closed higher at 15,235.72 (+.06%). Just like yesterday 9 of the 11 sectors closed moved the markets forward, but this time the energy energy sector added .7% to lead all sectors as oil prices moved up 1.1% to close at $84.65/bbl. The yield curve saw the 10-yr treasury closed down anther 2 basis points at 1.62% & the 2-yr moved up basis points to .45%, while the US dollar index closed up .1% at 93.93.
The macroeconomic schedule was relatively busy today as the Conference Board’s Consumer Confidence Index report confirmed a rise to 113.8 in October. The New home sales report showed a sizable 14% rise M/M in September to a seasonally adjusted annual rate of 800k. The S&P Case-Shiller Home Price Index report for August was confirmed to be up 19.7% Y/Y & the FHFA Housing Price Index report confirmed a 1% M/M rise in August. Tomorrow’s schedule will produce the Durable Goods Orders report for September, the Advance International Trade in Goods, Retail Inventories, and Wholesale Inventories reports for September, & the weekly MBA Mortgage Applications Index report.
The S&P 500 closed at 4,566.48 (+.47%), the Dow 30 closed at 35,741.15 (+.18%), & the Nasdaq also closed higher at 15,226.71 (+.90%. The small caps on the Russell 2000 sat this one out and was under pressure most of the day closing lower at 2,296.08 (-.72%) & the MicroCaps followed the small caps lower as the iShares Micro-Cap ETF (IWC) closed at $147.33, (-.61%).
GOLD/SILVER
The precious metals markets ended with gold prices closing back under $1800 closing at $1,794, -$14/oz. and silver closed at $24.22, -$.38/oz. Hecla Mining Company (HL) fell .81% to close at $6.15.
BIOTECH- $INMB Rises Again
The SPDR S&P Biotech ETF (XBI) closed at $124.10, -.23%, the iShares Nasdaq Biotechnology ETF (IBB) closed at $160.04, -.12% & the NYSE ARCA Biotech Index (^BTK) closed at $5,656.25, -.13%.
A panel of outside advisers to the FDA reportedly voted to recommend approval of the Pfizer (PFE, $43.56, +.95%) and BioNTech(BNTX, $292.39, .86%) COVID-19 vaccine for children ages 5-11 years.
BioNTech SE also announced today that the Company plans to initiate the construction of the first state-of-the-art manufacturing site for mRNA-based vaccines in the African Union in mid-2022. This is the next step in BioNTech’s efforts to implement sustainable end-to-end vaccine supply solutions on the African continent.

Shares of Apple (AAPL) closed at $149.32, +.46%. On oct, 21, Apple® announced that Apple Bağdat Caddesi will open on Friday, October 22. Shares of Microsoft Corp. (MSFT) closed at $310.11, +.64%, but are trading up significantly in the aftermarkets after releasing their Q1 2022 fiscal earnings report. Here are a few of the numbers from the report: Revenue: $45.3 billion versus $43.93 billion expected, Earnings per share: $2.71 versus $2.07 expected, Intelligent Cloud: $16.98 versus $16.58 billion expected, & Productivity & Business processes: $15.04 versus $14.70 billion expected. Satya Nadella, chairman and chief executive officer of Microsoft stated, “Digital technology is a deflationary force in an inflationary economy. Businesses – small and large – can improve productivity and the affordability of their products and services by building tech intensity. The Microsoft Cloud delivers the end-to-end platforms and tools organizations need to navigate this time of transition and change.”
VP Watchlist company Tesla (TSLA) pulled back from yesterday’s run and closed $1018.43, -.63% but still worth over $1T at $1.02T. Yesterday, Hertz’s (HTZZ, $27.17, +1.03%) announced that they are making a significant investment to offer the largest EV rental fleet in North America and one of the largest in the world, which includes an initial order of 100,000 Tesla’s (+$4B investment) by the end of 2022 and new EV charging infrastructure across the company’s global operations. Last week, Tesla also released its financial results for the third quarter of 2021 they topped estimates but this win was a surprise. Tesla’s revenues came in at $13.76 billion vs. $13.91 billion expected, $8.77 billion Y/Y & Adjusted earnings per share came in at $1.86 vs. $1.67 expected, 76 cents Y/Y. Tesla also reconfirmed the company’s guidance that it will achieve 50% average annual growth in vehicle deliveries over a stated multi-year horizon.

Another VP Watchlist company, Walt Disney (DIS), closed $172.04, +.02% after it was confirmed that Disney is planning to raise ticket prices for Disneyland will likely drive revenue forward. Surprise! Surprise! There is also a good chance that they will continue to do so across their entertainment platform as we move forward too.
BIRD IPO
Allbirds, a 2015 founded New Zealand-American sustainable shoe company, is reportedly planning to sell +19 million shares targeting a price range of $12-$1 via an IPO on the Nasdaq. Their ticker is BIRD. The shoemaker will sell 15.38 million shares while 3.84 million shares will be offered by certain existing stockholders, according to an amended filing. Many may recognize their shoes for its eco-friendly wool fabric. If you have ever been to New Zealand you would probably understand where they might have derived their product idea as it is difficult to see some hills as they are covered in sheep!

AMC Entertainment (AMC) closed at $36.05, -2.12%. GameStop (GME) closed at $177.84, +2.22%. According to Yahoo finance Brian Cheung, the Securities and Exchange Commission released a 45-page report on Monday offering no specific policy recommendations following the early 2021 frenzy over GameStop (GME) stock.
Shares of Seanergy Maritime Holdings Corp. (SHIP) closed at $1.06, -7.83%. Seanergy announced today that it has received a commitment letter from a leading European bank for a sustainability-linked loan facility to finance part of the acquisition cost of the M/V Worldship. Moreover, Seanergy became a signatory to the Call to Action for Shipping Decarbonization (“Call to Action”), a global coalition of over 190 industry leaders and organizations representing the entire maritime value chain. On Oct. 19, Seaenergy announced that it has entered into a definitive agreement with an unaffiliated third party to purchase a Capesize vessel . In addition, the Company has recently completed the sale and delivery of its oldest Capesize vessel, the M/V Leadership, 2001-built, to its new owners. The Vessel was built in 2010 at a reputable shipyard in Japan, has a cargo-carrying capacity of approximately 181,500 deadweight tons (“dwt”) and will be renamed M/V Dukeship. The M/V Dukeship is expected to be delivered within November 2021, subject to the satisfaction of certain customary closing conditions. Following her delivery, Seanergy’s fleet will increase to 17 Capesize vessels with an aggregate cargo capacity exceeding 3 million dwt. The Vessel is fitted with a ballast water treatment system, while the special survey was recently completed by the current owner and, therefore, the Company does not anticipate incurring any significant off-hire or capital expenditures for this Vessel for the next two years. The purchase price of $34.3 million is expected to be funded with cash on hand.
Borqs Technologies, Inc. (Nasdaq: BRQS, $.6568), a global provider of embedded software and products for the Internet of Things (IoT), announced last week that it signed definitive agreements dated October 19, 2021 and now owns 51% interest in Holu Hou Energy LLC (“HHE”), an innovative solar energy and storage provider for the residential, multi-family residential and commercial building markets & the acquisition transaction has closed successfully. Financial results of HHE will be consolidated into Borqs beginning with the 4th calendar quarter of 2021; and the Company reaffirms the HHE revenue forecast of $48 million for the year 2022.

- After the market closed Thursday, Aug. 25th, INmune Bio announced that the first patient who received INKmune™ as a potential treatment for high-risk myelodysplastic syndrome (MDS) has successfully shown the NK activation and functional differentiation predicted by previously published in vitro experiments. NK cells need multiple activating signals to progress from a resting state to the triggering of cytolysis and cytokine secretion. - On Oct. 1, Fate announced that one oral and four poster presentations for the Company’s induced pluripotent stem cell (iPSC) product platform were accepted for presentation at the 36th Annual Meeting of the Society for Immunotherapy of Cancer (SITC) being held November 10-14, 2021. The oral presentation will highlight preclinical data for FT536, the Company’s off-the-shelf, multiplexed-engineered, iPSC-derived, chimeric antigen receptor (CAR) NK cell product candidate that uniquely targets the α3 domain of the MHC class I related proteins A (MICA) and B (MICB). In a recent publication in Cancer Immunology Research (DOI: 10.1158/2326-6066.CIR-19-0483), Kai W. Wucherpfennig, M.D., Ph.D., Chair of the Department of Cancer Immunology and Virology at the Dana-Farber Cancer Institute and co-leader of the Cancer Immunology Program at Dana-Farber / Harvard Cancer Center, demonstrated that cancers with loss of MHC Class I expression can be effectively targeted with MICA/B α3 domain-specific antibodies to restore NK cell-mediated immunity against solid tumors. The FT536 program is supported by an exclusive license from the Dana-Farber Cancer Institute to intellectual property covering novel antibody fragments binding MICA/B for iPSC-derived cellular therapeutics. The Company expects to submit an Investigational New Drug (IND) application for FT536 in the fourth quarter of 2021 for the treatment of advanced solid tumors, including in combination with monoclonal antibody therapy.

- On September 15, Fate Therapeutics announced the publication of preclinical data demonstrating that its off-the-shelf, multiplexed-engineered, iPSC-derived NK cell product candidate FT538 exhibits significantly enhanced serial killing and functional persistence compared to peripheral blood NK cells. The superior anti-tumor activity of FT538 was attributable to its novel engineered components, including the knockout of CD38 and the expression of IL-15/IL-15R fusion protein, which were shown to improve metabolic fitness, increase resistance to oxidative stress, and induce transcription of proteins that control NK cell activation and effector function. - The group of investors includes members of INVO Bioscience’s management team, including Steve Shum, CEO, and Andrea Goren, CFO. Paulson Investment Company, LLC is acting as the exclusive placement agent for the offering. The gross proceeds from the offering are expected to be approximately $4.0 million, before deducting placement agent’s fees and other offering expenses. INVO Bioscience currently intends to use the net proceeds from this registered direct offering for general corporate and working capital purposes.
- Also, on Oct. 1, INVO entered into a separate Stock Purchase Agreement with Paradigm Opportunities Fund, LP an accredited institutional investor, pursuant to which we will issue to such investor 600,703 shares of their common stock, par value $0.0001 per share for a purchase price of $3.329 per share for an aggregate purchase price of $1,999,740.29. This transaction is set to close on November 30, 2021. The Shares will be issued under the exemption from registration under Section 4(a)(2) and/or Rule 506 of the Securities Act of 1933, as amended. The Purchase Agreement contains a $250,000 break-up fee whereby if either party fails to close, it will be required to pay the non-breaching party a fee of $250,000. The investor under the Purchase Agreement also agreed to a 1-year lock up period with respect to the Shares.

- On September 9th, INVO Bioscience announced that it has completed the acquisition of a Canadian-based entity that was originally formed to offer INVOcell in Canada. The entity had previously completed a number of important procedures and documentation necessary to establish INVOcell within clinical operations in Canada. INVO Bioscience anticipates leveraging this entity to advance the distribution of INVOcell, and take advantage of the existing product registration which approved the device for sale based on 5-day incubation in the Canadian market. In addition, the Company is initiating the development of joint ventures to establish INVO Centers within the Canadian marketplace, similar to U.S. and Mexico markets, to further drive accelerated adoption of the INVOcell solution while also increasing much needed capacity and patient access within the fertility industry. - Over the past 40+ years, since the first IVF baby was born, the fertility market has grown into a $20+ billion global industry. Here in the U.S., according to the most recent 2019 CDC data, approximately 330,000 IVF cycles were performed across 448 clinics, which implies a roughly $5 billion domestic marketplace. However, this represents only a small portion of the actual market as approximately 90% of infertile couples go untreated each year. There are some real challenges with bridging the gap of treating the volume of patients that need care. Patient affordability and lack of insurance coverage is often the most discussed dynamic, but that is only one part of the challenge. We believe that there is an equal or even greater challenge related to capacity limitations in the industry given the relatively small number of IVF clinics and limited human resources available which are typically only available in major metropolitan areas. We believe that INVO Biosceince’s INVOcell, without the need of expensive lab build outs, can bring much needed capacity additions and access to the market beyond the major metropolitan areas at a more affordable price.

- On October 21, Atossa Therapeutics, Inc. (Nasdaq: ATOS) released a short video message recognizing Breast Cancer Awareness Month, and urging women to get mammograms. In the video message, which can be found on Atossa’s website here, Dr. Quay cites that the global pandemic “changed everything” with regard to breast cancer screening, indicating that many women have ceased to seek out their mammograms since the initial COVID-19 outbreak. This is corroborated in an article in the October 2021 issue of the peer-reviewed medical journal, Preventative Medicine, which indicated this was a particular problem in women of color and those who fall in the lower income brackets.

The nebulized formulation, AT-H201, is being developed as an inhalation therapy for moderately to severely-ill hospitalized COVID-19 patients and for “long-haul” patients with post-infection pulmonary disease. “Even with vaccines becoming widely available, the COVID-19 pandemic continues to be an urgent global health crisis,” said Steven Quay, M.D., Ph.D., Atossa’s CEO and President. “Enrolling the first two participants in this study marks a significant milestone in our goal of ultimately developing nebulized AT-H201 to improve lung function in patients with active disease, which may reduce the number of patients requiring ventilators, and in ‘long-haul’ patients who have residual pulmonary function damage. - On September 30, INmed announced that it has commenced its Phase 2 clinical trial of INM-755 (cannabinol) cream in the treatment of Epidermolysis Bullosa (“EB”). This marks the first time cannabinol has advanced to a Phase 2 Clinical trial to be studied as a therapeutic option to treat a disease. This study will be taking place at eleven sites across seven countries including Austria, Germany, Greece, France, Italy, Israel and Serbia. Clinical Trial Applications (“CTAs”) have been filed in all participating countries with regulatory authority and ethics committee approvals currently in place in four countries (Austria, France, Greece, Israel). The first site initiation visit was completed at a clinical site in Austria, where screening for eligible patients will begin shortly. “The start of this Phase 2 clinical trial represents a very important step forward to test the efficacy of INM-755 (cannabinol) cream in treating epidermolysis bullosa, a disease that has very few treatment options,” stated Alexandra Mancini, Senior Vice President of Clinical and Regulatory Affairs at InMed. “Based on our earlier studies, we are hopeful that our cannabinol cream will prove to be a safe and effective treatment for people living with this severe genetic skin disease.”

- On July 2nd, InMed announced that it had closed the previously announced private placement and after deducting the placement agent fees and estimated offering expenses payable by the Company, the Company received net proceeds of approximately US$11 million. H.C. Wainwright & Co. acted as the exclusive placement agent for the private placement. Under the terms of the private placement, an aggregate of 4,036,327 common shares (or common share equivalents in lieu thereof) and warrants to purchase up to an aggregate of 4,036,327 common shares were purchased, at an effective purchase price of US$2.973 per common share (or common stock equivalent in lieu thereof) and associated warrant. The warrants have an exercise price of US$2.848 per share, are exercisable immediately and have a term of five years. InMed intends to use the net proceeds from the offering to continue pipeline development, advance business development activities and for general working capital purposes.
