Happy Monday!

8 of the 11 sectors closed in the green today as the S&P 500 closed at 4,468.73 (+.23%), the Dow 30 closed at 34,869.63 (+.76%), but the Nasdaq closed lower at 15,248.25 (-.25%). The energy sector led all with an impressive 2.9% gain as oil prices closed at $70.47/bbl up 1% on the day, while the financials also rose 1.1%. Energy giant Chevron (CVX) closed at $97.97, +1.98% after announcing that Chevron U.S.A. Inc., through its Chevron New Energies division, and a subsidiary of Enterprise Products Partners L.P. (NYSE: EPD) announced a framework to study and evaluate opportunities for carbon dioxide (CO2) capture, utilization, and storage (CCUS) from their respective business operations in the U.S. Midcontinent and Gulf Coast. The companies expect the initial phase of the study in which they will evaluate specific business opportunities to last about six months. leading the 3 sectors that closed in the red was the health care sector, which dropped .6% as some ‘experts’ were reported by The Lancet to be calling in the question the need for a COVID-19 booster shot, thus muddying the waters once again. 

The small caps on the Russell 2000 also landed in positive territory closing at 2,240.78 (+.59%). In contrast, the MicroCaps moved lower again today as the iShares Micro-Cap ETF (IWC) closed at $146.14, (-.1%), but did manage to closie near the high of the day at of $146.95.

The macroeconomic schedule was limited the Treasury Budget report for August, which confirmed a $170.64B deficit in August, while the fiscal YTD budget deficit is $2.71T. Tomorrow’s schedule will deliver the Consumer Price Index report for August & the NFIB Small Business Optimism Survey for August. 

The yield curve tightened again today, as the 10-yr treasury yield closed down 2 basis points at 1.32%, while the 2-yr yield stayed pat at .21%. The U.S. Dollar Index moved up by .1% to close at 92.64.

The precious metals markets ended with gold prices closing at $1,795, +$5 and silver closed at $23.77, -$.01.

BIOTECH BUT CYTOVIA RAISES & INM’s DEFINITIVE AGREEMENT

 The SPDR S&P Biotech ETF (XBI) closed at $131.08, -.49%, the iShares Nasdaq Biotechnology ETF (IBB) closed at $170.32, -1.68% & the NYSE ARCA Biotech Index (^BTK) closed at 5,840.03, -.71%.

One our portfolio companies in the biotech sector, privately owned Cytovia Therapeutics, Inc. , a biopharmaceutical company developing allogeneic “off-the-shelf” gene-edited iNK and CAR (Chimeric Antigen Receptor)-iNK cells derived from induced pluripotent stem cells (iPSCs) and NK cell engager multifunctional antibodies, and CytoLynx Therapeutics (“CytoLynx), its newly-formed China-focused joint venture, announced today that they have closed $45 million from institutional investors to finance the IND enabling and initial clinical development of their pipeline. Cytovia’s management is currently targeting to go public in early 2022. 

Cytovia and TF Capital, a leading China-based biotech institutional investor, have formed CytoLynx Therapeutics. TF Capital along with YF Capital, BioTrack Capital, Ruihua Capital, and TG Sino-Dragon Fund (backed by TigerMed) have invested $45 million to support the new venture, as well as Cytovia research and development projects. The collaboration agreements between CytoLynx and Cytovia will advance multiple NK therapeutics through product development in the Greater China region. Additionally, CytoLynx obtained a technology license from Cytovia based on its core technologies to allow in-China development of additional NK therapeutics for global commercialization. Cytovia is eligible to receive up to $400 million in upfront development and commercial milestones under the agreement.

Dr. Daniel Teper, Chairman and CEO of Cytovia commented: “We are excited to accelerate the global development of our lead GPC3 programs for the treatment of hepatocellular carcinoma, a condition with significant unmet medical needs and a very large patient population in Asia, particularly in China, and establish a path to provide these therapies to the Chinese market. InMed Pharmaceuticals (INM) announced today that it has entered into a definitive agreement to acquire BayMedica Inc., a private company based in the US that specializes in the manufacturing and commercialization of rare cannabinoids. The Definitive Agreement follows a previously signed letter of intent announced on June 29, 2021. The transaction, which is subject to certain standard closing conditions, is expected to close in the coming weeks. Upon closing, InMed will become a global leader in the manufacturing of rare cannabinoids, with expertise in three distinct and complementary cannabinoid manufacturing approaches. InMed’s proprietary cannabinoid manufacturing process, IntegraSyn™, combined with BayMedica’s synthetic biology and chemical synthesis capabilities, will provide InMed with complete manufacturing flexibility to select the most appropriate, cost-effective method based on the target cannabinoid and appropriate quality specifications for the desired market segment. In parallel to cannabinoid manufacturing, the combined company will continue to explore the therapeutic potential of cannabinoids and novel cannabinoid analogs for pharmaceutical drug development, as well as expand commercial sales of rare cannabinoids to the consumer health and wellness sector. Revenues of BayMedica’s initial rare cannabinoid product, Prodiol® CBC (cannabichromene), have grown steadily since sales commenced in December 2019, with cumulative revenues in excess of US$2.5M. BayMedica leads the industry in large batch production of CBC with current batch sizes of more than 200kg and an ability to increase to metric ton quantities as market demand increases. BayMedica is focused on the wholesale to consumer health and wellness markets, including nutraceuticals, cosmetic, functional food and beverage, as well as animal health markets. In addition to CBC, BayMedica has several high value non-intoxicating rare cannabinoids in various stages of commercial manufacturing scale-up including CBDV, THCV, CBGV, CBT and CBN for the health and wellness markets.

AMC Entertainment (AMC) stays d strong and closed at $51.69, +3.05%.

GameStop (GME) had a very nice day as it closed at $203.40, 6.82%. GME released their financial results for the second quarter ended July 31, 2021 last week. They generated their net sales of $1.183 billion, compared to $942 million in the prior year’s second quarter & ended the period with cash and restricted cash of $1.78 billion, ended the period with no long-term debt, other than a $47.5 million low-interest loan associated with the French government’s pandemic response & invested in long-term growth initiatives that include expanding the Company’s product catalog, enhancing its fulfillment network capabilities and technology, and adding talent across the organization.

Virgin Galactic Holdings (SPCE) continued to languish and closed at $24.26, -3.58%. 

Shares of infamous ‘meme brokerage’ firm Robinhood Markets, Inc., (HOOD) closed at $40.60, -1.38%. 

Shares of Seanergy Maritime Holdings Corp. (SHIP) moved up strongly today as it closed at $1.40, +12% after reaching $1.44 in tardy trading.  SHIP, the only pure-play Capesize ship-owner publicly listed in the US, announced last week that it took delivery of the previously-announced Capesize vessel acquisition, the M/V Worldship (the “Vessel”). The Vessel is a 181,415 dwt Capesize bulk carrier, built in 2012 by Imabari of Japan. The M/V Worldship is the sixth Capesize delivery that Seanergy has successfully completed in 2021 to-date. M/V Worldship has already entered a time charter (“T/C”) with an existing charterer of the Company, at a gross fixed rate of $31,750 per day for a period of about 12 to about 16 months from the delivery. SHIP recently announced that its Board of Directors has authorized a share repurchase plan. Under the Plan, the Company may repurchase up to $17 million of its outstanding common shares, representing approximately 10% of the Company’s market capitalization as of August 10, 2021.

  • Shares of VP Watchlist stock, INmune Bio (NASDAQ: INMB) closed trading at $21.39, -.83% after reaching $23.33 in intraday trading. 
    • On Wednesday, Aug. 4th, INmune Bio, Inc. reported its financial results for the second quarter ended June 30, 2021 and provided a business update. Raymond J Tesi, M.D., CEO/CMO of INmuneBio (INMB) stated, “We continue our planning and setup for a Phase 2 clinical trial of our lead candidate, XPRO™ (Xpro1595™), in patients with mild Alzheimer’s disease, which we plan to initiate by year-end. We have already demonstrated that XPRO™ can reduce neuroinflammation and decreases biomarkers of neurodegeneration and improve synaptic function. If successful in Phase 2, we believe XPRO™ has the potential to be among the most significant advancements in the treatment of Alzheimer’s Disease (AD) and other neurodegenerative diseases in many years. At the Alzheimer’s Association International Conference last week, we introduced a new biomarker – Apparent Fiber Density (AFD), a measure of axonal integrity measured by MRI. XPRO™ increases AFD in patients receiving 1mg/kg/week. We believe the novel non-invasive white matter analytics of white matter free water and apparent fiber density will be very useful in the development of XPRO™ in AD, Treatment Resistant Depression (TRD) and the many other CNS indications we hope to attack in the future. Last month, we treated the first patient in the first Phase 1 clinical trial of our NK cell priming platform, INKmune, in high-risk myelodysplastic syndrome (MDS). We are calling INKmune a pseudokine because, in vitro, it converts the resting NK cells into memory-like NK cells that can kill cancer cells as well or better than NK cells treated cytokines such as IL-12, IL-15 and IL-18 alone or in combination.”
    • On July 26th, INmune Bio announced the design of its upcoming Phase 2 clinical trial of XProTM in patients diagnosed with mild Alzheimer’s disease (AD) at AAIC. The announcement was accompanied by the release of additional biomarker data from the Phase 1b AD trial that shows improvement in white matter (myelinated axons) that degenerate in AD patients.   • Shares of Fate Therapeutics (FATE), a clinical-stage biopharmaceutical company dedicated to the development of programmed cellular immunotherapies for patients with cancer, closed at $65.78/share, -3.87%. The 52-wk high is $121.16. 
    •  On August 19th, FATE highlighted positive interim clinical data from the Company’s FT516 and FT596 programs for patients with relapsed / refractory B-cell lymphoma. FT516 is the Company’s universal, off-the-shelf natural killer (NK) cell product candidate derived from a clonal master induced pluripotent stem cell (iPSC) line engineered with a novel high-affinity, non-cleavable CD16 (hnCD16) Fc receptor, which is designed to maximize antibody-dependent cellular cytotoxicity (ADCC), a potent anti-tumor mechanism by which NK cells recognize, bind and kill antibody-coated cancer cells. The Company’s FT596 program incorporates both the hnCD16 Fc receptor and a chimeric antigen receptor (CAR) targeting CD19, which is designed to enable multi-antigen targeting of tumor cells, as well as an IL-15 receptor fusion (IL-15RF) to enhance NK cell activity and survival.
    • On August 4th, Fate reported business highlights and financial results for the second quarter ended June 30, 2021. Scott Wolchko, President and Chief Executive Officer of Fate Therapeutics stated, “We are very pleased with the early clinical safety and activity we have observed with our off-the-shelf, iPSC-derived NK cell programs in relapsed / refractory lymphoma and acute myeloid leukemia, where interim Phase 1 data indicate FT516 and FT538 are well tolerated and can deliver complete responses for patients. We look forward to sharing additional clinical data from our FT516 and FT596 programs in B-cell lymphoma at our upcoming investor event. Additionally, treatment of the first patient with FT819, the first-ever iPSC-derived T-cell therapy to undergo clinical investigation, is a landmark achievement and further demonstrates the Company’s leadership in off-the-shelf, iPSC-derived cell therapy and the versatility of its proprietary iPSC Product Platform.”
    • On Aug. 2 Fate announced that the first patient has been treated with FT819, an off-the-shelf chimeric antigen receptor (CAR) T-cell therapy targeting CD19+ malignancies. FT819 is the first-ever CAR T-cell therapy derived from a clonal master induced pluripotent stem cell (iPSC) line, a renewable cell source that enables mass production of high quality, allogeneic CAR T cells with greater product consistency, off-the-shelf availability, and broader patient accessibility. FT819 is engineered with several first-of-kind features designed to improve the safety and efficacy of CAR T-cell therapy.



  • INVO Bioscience (NASDAQ: INVO) is a medical device company focused on creating alternative treatments for patients diagnosed with infertility and developers of INVOcell®, the world’s only in vivo Intravaginal Culture System. Shares of INVO closed at $3.58.
    • On September 9th, INVO Bioscience announced that it has completed the acquisition of a Canadian-based entity that was originally formed to offer INVOcell in Canada. The entity had previously completed a number of important procedures and documentation necessary to establish INVOcell within clinical operations in Canada. INVO Bioscience anticipates leveraging this entity to advance the distribution of INVOcell, and take advantage of the existing product registration which approved the device for sale based on 5-day incubation in the Canadian market. In addition, the Company is initiating the development of joint ventures to establish INVO Centers within the Canadian marketplace, similar to U.S. and Mexico markets, to further drive accelerated adoption of the INVOcell solution while also increasing much needed capacity and patient access within the fertility industry.     • On September 7th,  INVO Bioscience announced that it has officially opened the Company’s 2nd INVO Center in the United States, based in Atlanta, Georgia after recently opening their first in Birmingham, AL called “Innovative Fertility Specialists, An INVO Center” on August 9th. INVO Centers are further scheduled this year to open in Monterrey, Mexico & the San Francisco Bay Area. This new joint-venture, named “Bloom Fertility, an INVO Center,” will focus on patients in need of advanced fertility care utilizing the efficient, effective, and affordable INVOcell solution.     • On August 16th, INVO announced their financial and operating results for the second quarter ended June 30, 2021 and provided a business update. Steve Shum , CEO of INVO stated. “Our team made excellent progress during the second quarter of 2021 toward our key objectives, headlined by last week’s official opening of our first INVO Center practice in Birmingham, AlabamaWe feel INVO is now well positioned for success based on the following core foundational elements developed over the past 2 years.     • On Aug.2, INVO announced the Company’s first Joint Venture INVO Center practice in the United States, based in Birmingham, Alabama, was officially opening on August 9, 2021. Dr. Hammond commented, “With the opening of the country’s first INVOcell medical practice, we are advancing a core mission towards improving access to advanced fertility services for the many patients who would otherwise never have the opportunity.     • Over the past 40+ years, since the first IVF baby was born, the fertility market has grown into a $20+ billion global industry. Here in the U.S., according to the most recent 2019 CDC data, approximately 330,000 IVF cycles were performed across 448 clinics, which implies a roughly $5 billion domestic marketplace. However, this represents only a small portion of the actual market as approximately 90% of infertile couples go untreated each year. There are some real challenges with bridging the gap of treating the volume of patients that need care. Patient affordability and lack of insurance coverage is often the most discussed dynamic, but that is only one part of the challenge. We believe that there is an equal or even greater challenge related to capacity limitations in the industry given the relatively small number of IVF clinics and limited human resources available which are typically only available in major metropolitan areas. We believe that INVO Biosceince’s INVOcell, without the need of expensive lab build outs, can bring much needed capacity additions and access to the market beyond the major metropolitan areas at a more affordable price.


  • Shares of VP Watchlist firm, Seattle-based Atossa Therapeutics, Inc. (Nasdaq: ATOS), a clinical stage biopharmaceutical company seeking to discover and develop innovative medicines in areas of significant unmet medical need with a current focus on breast cancer and COVID-19, closed at $3.50 , -11.84% on 11.74M shares of trading volume after reaching a high of $3.99 in intraday trading. 
    • On September 8th, Edward Woo, analyst at Ascendiant Capital Markets issued an update report titled “Q2 about inline. COVID-19 and breast cancer clinical trials expected to start soon should be catalysts for stock” and raided his P/T to $8.50.
    • On September 7th, Atossa adjourned its special stockholder meeting to 9:00 a.m. Eastern time on October 7, 2021 to allow additional time for stockholders to vote. The Company urges stockholders to vote on the proposal put forth in the proxy statement prior to the new meeting date. The purpose of the special meeting is to approve an increase in authorized shares of common stock, which requires the affirmative vote of a majority of the shares of common stock issued and outstanding as of the record date. While the votes cast to date have been strongly in favor of the proposal (73% of shares voted have been voted in favor), only 58% of the outstanding shares of common stock have been voted with 42% voting in favor of the proposal. Atossa is therefore adjourning the meeting for 30 days to allow additional time for stockholders to vote.     • On July 2nd, InMed announced that it had closed the previously announced private placement and after deducting the placement agent fees and estimated offering expenses payable by the Company, the Company received net proceeds of approximately US$11 million. H.C. Wainwright & Co. acted as the exclusive placement agent for the private placement. Under the terms of the private placement, an aggregate of 4,036,327 common shares (or common share equivalents in lieu thereof) and warrants to purchase up to an aggregate of 4,036,327 common shares were purchased, at an effective purchase price of US$2.973 per common share (or common stock equivalent in lieu thereof) and associated warrant. The warrants have an exercise price of US$2.848 per share, are exercisable immediately and have a term of five years. InMed intends to use the net proceeds from the offering to continue pipeline development, advance business development activities and for general working capital purposes.
