I hope that you had a marvelous week.
As for the broad markets this week, investors were were once again besieged with a number of issues including global geopolitical uncertainty and the overall rising inflationary & interest rate environment, while tax selling & irrationally fear-charged selling of equities persisted, while the major indices closed significantly lower across the board. Overall the large caps faired better then the small caps/tech/growth stocks as is the custom in this type of environment. In concert with growing fears, The CBOE Volatility Index (^VIX) jumped a whopping 26.15% closing at $21.71 over the last 5 days. Oil prices also rose .7% ending at $88.28/bbl. Accordingly, the yield curve ended with the 2-yr yield moving from 5.05% to 5.101% and the 10-yr note moving up 29 bps to 4.92%. However, The U.S. Dollar Index edged down this week from 106.67 to 106.16 this week. Did you know that the US Treasury Department has been growing its auction sizes for its Treasury bills/notes& that the total amount of Treasuries issued this year is expected to jump to +$3T?
A number of macroeconomic reports hit the presses again this week bringing growth concerns in to play as mortgages dropped significantly with rising rates, while the data is still believed to be supporting the Fed’s ongoing fight against inflation. On Monday, The Empire State Manufacturing index dropped to -4.6 in October. On Tuesday, the Total retail sales report clocked in higher than expected up .7% M/M in September placing the Fed’s interest rate raising moves squarely top of mind. The Total industrial production report also revealed a .3% M/M rise in September and now the capacity utilization rate has increased to 79.7%. The Total industrial production report also showing and .1% Y/Y increase. The NAHB Housing Market Index report also showed a move lower to 40 in October & Business inventories were confirmed to rise .4% in August. On Wednesday, The Weekly MBA Mortgage Applications Index report that came in at -6.9% and the September Housing Starts report closed in lower than expected at 1.358M & the September Building Permits came in at 1.473. On Thursday, The Weekly Initial Claims report clocked in at 198k below expectations, while the Weekly Continuing Claims report came in at higher at 1.734M and still painting an extremely tight picture. The October Philadelphia Fed Index report came in at -9. The September Existing Home Sales report came in at 3.96M. The September Leading Indicators report came in at -.7%.
At the end of the week, the Dow 30 closed at 33,127 (-1.6%) this week and is now down .1% YTD. The S&P 500 closed at 4,224 (-2.4%) for the week and is now up 10% YTD as 9 of the 11 sectors closed in the red with the real estate sector down 4.6% & the consumer discretionary sector off 4.4% taking the biggest hits. The consumer staples sector ended up .7% & the energy sector rose equally by .7% to be the only tow sectors that closed in the green. The Nasdaq closed at 12,984 (-3.2%) and remains up 24.1% YTD. Netflix (NFLX, $400.96, +12.73% over the last 5-days) reported after the close on Wednesday and smashing expectations regarding subscribers and announced they would be raising rates. Thermo Fisher Scientific Inc. (NYSE: TMO, $464.36), the world leader in serving science, and Olink Holding AB (Nasdaq: OLK, $24,75, +66 over the last 5-days), a leading provider of next-generation proteomics solutions, announced this week that their respective boards of directors have approved Thermo Fisher’s proposal to acquire Olink for $26.00 per common share in cash, representing $26.00 per American Depositary Share (ADS) in cash. This represents a premium of approximately 74% to the closing price of Olink’s American Depositary Shares that trade on NASDAQ on October 16, 2023, the last trading day prior to the announcement of the transaction. Thermo Fisher will commence a tender offer to acquire all of the outstanding Olink common shares and all of the American Depositary Shares. The transaction values Olink at approximately $3.1 billion which includes net cash of approximately $143 million.

The small caps on the Russell 2000 took another solid hit again this week and closed at 1,680.79 (-2.26%) for the week & is now down 4.57% YTD. The MicroCaps also moved lower this week as the iShares Micro-Cap ETF (IWC) closed at $93.04, -2.73% this week & is now down 13.72% YTD after stabbing a new 52-wk low on Friday at $92.96.
Bank stocks on the SPDR S&P Regional Banking ETF (KRE) moved down 3.27% over the last 5-days to close at $39.10 and is now down 33.44% YTD & the SPDR S&P Bank ETF (KBE) also moved down 3.09% over the last 5-days to close at $34.87.
The Biotech sector had a bit of a seesaw affair of a week establishing a new 52-wk low on the XBI prior to bouncing at the end of week. The Nasdaq Biotechnology ETF (IBB) closed at $1217.17, -3.67% over the last 5-days and is now down 10.75% YTD, the NYSE ARCA Biotech Index (^BTK) closed at 4,762.75, -4.22% over the last 5-days and is now down 9.82% YTD, & the SPDR S&P Biotech ETF (XBI) closed at $66.92, -3.85% over the last 5-days, & is now down 19.37% YTD. The 52-week range is is now $66.58-$92.60 after establishing a new 52-wk low again this week.
Cathie Wood’s ARK Innovation ETF (ARKK) closed at $36.03, -4.61% over the last 5-days and remains up 15.33% YTD.
The iShares U.S. Healthcare ETF (IYH) closed at $267.98, -1.60% over the last 5-days and is now down 5.54% YTD.

On Oct. 3, Lantern announced that in vivo data highlighting the enhanced efficacy of Lantern’s drug candidate LP-184 in glioblastoma (GBM) were published in Clinical Cancer Research, a journal of the American Association for Cancer Research. On September 25, Lantern announced the dosing of the first patient in the Phase 1 clinical trial evaluating Lantern’s investigational new drug LP-184 in patients with advanced solid tumors. LP-184 is being studied in a first-in-human Phase 1 clinical trial, having been developed with guidance from Lantern’s AI Platform, RADR®, as a potential therapy for a wide range of advanced solid tumors. On September 18, Lantern announced that the United States Food and Drug Administration (FDA) has cleared the investigational new drug (IND) application for LP-284. LP-284 is being developed for the treatment of relapsed or refractory non-Hodgkin’s lymphoma (NHL), including mantle cell lymphoma (MCL) and double hit lymphoma (DHL) and other high-grade B-cell lymphomas (HGBL). Lantern expects to commence enrollment of patients for the first-in-human Phase 1 trial for LP-284 during the fourth quarter of 2023. On Sept. 19, Indaptus announced dosing of the first patient in the second cohort of patients to receive a single dose of Decoy20 in the INDP-D101 trial. This cohort dose is a dose reduction from the previous cohort based on the significant pharmacodynamic effect seen with the first cohort and anticipated optimal Decoy20 safety profile for both weekly dosing and combination approaches. On August 11, INVO announced it has closed the previously announced acquisition of Wisconsin Fertility Institute. The acquisition is reported to provide operational scale, positive cash flow and complements the Company’s new-build INVO Center strategy. The Madison-based fertility center primarily offers conventional IVF procedures having generated approximately $5.1 million in revenue and net income of $1.6 million for the trailing 12-month period ended March 31, 2023. INVO will look to further expand the center through the introduction of the IVC procedure as an added service offering to patients. Wisconsin Fertility Institute, led by internationally renowned and well-respected fertility expert, Dr. Elizabeth Pritts, is one of the state’s preeminent fertility centers, having helped to welcome over 5,000 babies since opening its doors in 2007 with approximately 550 conventional IVF procedures completed in 2022. Steve Shum, CEO of INVO stated, “The acquisition of Wisconsin Fertility Institute accelerates the transformation of INVO to a healthcare services company, with an ability to leverage our unique and innovative INVOcell device to help democratize the fertility industry. On Aug. 4 INVO announced the pricing of its public offering of 1,580,000 units, with each unit consisting of one share of common stock and two warrants, each to purchase one share of common stock. Each unit is being sold at a public offering price of $2.85. The warrants will be immediately exercisable at a price of $2.85 per share and will expire five years from the date of issuance. The shares of common stock and accompanying warrants can only be purchased together in this offering, but will be issued separately and will be immediately separable upon issuance.
On July 28, INVO effected a 1-for-20 reverse split of its issued and outstanding and authorized common stock effective as of 12:01 a.m. Eastern Time on July 28, 2023. Commencing with the opening of trading on The Nasdaq Capital Market on July 28, 2023, the Company’s common stock traded on a post-split basis under the same trading symbol, “INVO”. The company now has approximately 842,017 shares of common stock issued and outstanding. In addition, a proportionate adjustment was made to the company’s authorized shares of common stock such that the Company shall have 6,250,000 shares of authorized common stock after the effective time of the reverse stock split.
On June 27, INVO announced it has received U.S. Food and Drug Administration (FDA) 510(k) clearance to expand the labeling on the INVOcell device and its indication for use to provide for a 5-day incubation period. The data supporting the expanded 5-day incubation clearance demonstrated improved patient outcomes. On Oct. 2, GTCR, a leading private equity firm, announced that it has closed the acquisition of ADT’s commercial security, fire and life safety security businessfrom ADT Inc. (“ADT”, NYSE: ADT). Moving forward as a standalone organization, ADT Commercial will rebrand as Everon. GTCR will partner with former Protection1 executives Dan Bresingham and Tim Whall, along with other members of ADTC leadership, to acquire the Company, one of the leading national providers of electronic security and fire safety services to commercial enterprises and multi-site national accounts. Mr. Bresingham, former leader of ADT’s commercial security, fire and life safety business, will become Chief Executive Officer of Everon and Mr. Whall will serve as an active director on the Company’s Board.
Shares of Seanergy Maritime Holdings Corp. (SHIP), the only pure-play Capesize ship-owner publicly listed in the U.S. closed at $6.05, -2.58% over the last 5 days. On Aug. 2, Seanergy announced its financial results for the second quarter and six months ended June 30, 2023. They highlighted that Fleet Time Charter Equivalent (“TCE” 3) overperformance of Baltic Capesize Index (“BCI”) by 20% in 2Q23 & 1H23, a Quarterly cash dividend of $0.025 per share for Q2 2023 – total cash dividends of $1.325 per share or $23.9 million declared since March 2022, a stock buyback of $1.6 million, or approximately 2% of its issued and outstanding shares – total repurchases of securities (common shares, convertible notes and warrants) of approximately $39.6 million since November 2021, an Agreement to acquire a 2011-built Newcastlemax dry bulk vessel through a 12-month bareboat charter with a purchase option, & $53.8 million in refinancings during the second quarter, on improved terms, adding $15.0 million of extra liquidity and removing any loan maturities until Q2 2025.
