Happy Thursday!

I hope that all is well with you on this third day of the holiday shortened week. The stocks today were essentially on fire post the euphoria that grew around AI stocks after NVIDIA beat the street’s expectations after the market’s close on Wednesday. As a reminder, they reported the following: Record quarterly revenue of $22.1 billion, up 22% from Q3, up 265% from year ago, Record quarterly Data Center revenue of $18.4 billion, up 27% from Q3, up 409% from year ago, & Record full-year revenue of $60.9 billion, up 126%. Jensen Huang, founder and CEO of NVIDIA stated, “Accelerated computing and generative AI have hit the tipping point. Demand is surging worldwide across companies, industries and nations.”  NVIDIA’s (NVDA) stock closed trading at $642.71, -2.85% and is currently up to $715.11, +5.99% in the aftermarket.

The US macroeconomic schedule also offered the Weekly Initial Claims report that came in lower at 201K & the Weekly Continuing Claims report came in lower at 1.826M. The Preliminary February S&P Global US Manufacturing PMI report came in at 51.5 & the 
Preliminary February S&P Global Services PMI report came in lower at 51.3. The January Existing Home Sales report came in basically inline with expectations at 4M. The yield curve rose as the 2-yr note closed at 4.72%, +5bps & the 10-yr note yield closed at 4.33%, +0bps. Oil prices also closed higher at 78.34/bbl, +.55%. The US Dollar Index dropped by .06% to close at $103.94 & the CBOE Volatility Index (^VIX) closed at $14.54 and down 5.22% on the day and hit a high of $14.64 during intraday trading.

At the end of today’s session the Dow 30 closed at 39,069.11 (+1.18%) as Microsoft (MSFT) closed at $411.65, +2.35% and trading up along with the balance of AI stocks. The S&P 500 closed at 5,087.03 (+2.11%). The Nasdaq closed at 16,041.62 (+2.96%), while Cathie Wood’s ARK Innovation ETF (ARKK) closed at $48.48, +2.47%. The Magnificent Seven closed as follows: Alphabet (GOOG) closed at $145.32, +1.03%, Amazon (AMZN) closing at $174.58, 3.55%, Apple (AAPL) closing at $184.37, +1.12%, Meta Platforms (META) closing at $486.13, +3.87%, Microsoft (MSFT) closing at $411.65, +2.35%, NVIDIA (NVDA) closing at $785.38, +16.40% (Goldman Sachs raised their target price to $800 a week ago Monday last week), & Tesla (TSLA) closed at $197.41, +1.36% and is now down 20.55% YTD.  The small caps on the Russell 2000 edged up and closed at 2,013.84 (+.96%).

Overall today, biotech stocks that make up the SPDR S&P Biotech ETF (XBI) closed at $94.15, +1.82%. The iShares Biotechnology ETF (IBB) closed at $137.17, +1.41%. The 52-range is $111.83 – $139.49. The iShares U.S. Healthcare ETF (IYH) closed at $308.62, +1.32%.

The SPDR S&P Regional Banking ETF (KRE) closed at $47.97, -.08% and the SPDR S&P Bank ETF (KBE) closed at $44.06, +.23%.

Around the crypto and precious metals’ tree, Bitcoin (BTC) traded to $51,450.62, +.11% over the last 24 hours at the time of this writing, while Coinbase Global (COIN) closed at $170.91, +5.23%. 

Gold prices closed at $2,024, -$2/oz. & silver closed at $22.84, -$.15/oz. on the day.  The SPDR Gold Shares ETF (GLD) closed at $187.56, +.04% today and up 10.55% over the last year.

 

MOVERS

Iovance Biotherapeutics, Inc. (IOVA, 15.94, +1.08), a biotechnology company focused on innovating, developing, and delivering novel polyclonal tumor infiltrating lymphocyte (“TIL”) therapies for patients with cancer, yesterday announced the pricing of an underwritten offering of 23,014,000 shares of its common stock at an offering price of $9.15 per share. The gross proceeds from the offering, before deducting the underwriting discounts and commissions and other estimated offering expenses payable by Iovance, are expected to be approximately $211 million. The offering is expected to close on or about February 22, 2024, subject to customary closing conditions.

Super Micro Computer, Inc. (NASDAQ: SMCI, $975.52, +32.87%), a Total IT Solution Manufacturer for AI, Cloud, Storage, and 5G/Edge, announced on Feb. 21 that it intends to offer, subject to market conditions and other factors, $1.5 billion aggregate principal amount of convertible senior notes due 2029 (the “Convertible Notes”).

AMC will report its results for the fourth quarter and full year ended December 31, 2023, after the market closes on Wednesday, February 28, 2024.



VP WATCHLIST UPDATES


Lantern (LTRN), closed at $3.87, -1.53%. Lantern is an Artificial Intelligence (AI) firm that is transforming the cost, pace, and timeline of oncology drug discovery and development and specifically is developing targeted and transformative cancer therapies using its proprietary RADR® AI and machine learning (“ML”) platform with multiple clinical stage drug programs.

On Feb. 15, Lantern announced an important milestone in its antibody-drug conjugate (ADC) program. In collaboration with Bielefeld University, Lantern has generated a new class of highly specific and highly potent ADCs with a cryptophycin drug-payload.

This novel approach utilizes cysteine-engineered antibodies which allows for the development of uniform and homogenous ADCs with precise control of the drug to antibody ratio (DAR). The drug-payload, cryptophycin, has the potential to improve upon existing ADCs used in the clinical setting by: 1) improving the anti-tumor potency of the ADC molecule, and 2) overcoming drug resistance tumors can frequently develop to existing drug-payloads such as MMAE (Monomethyl auristatin E). The cryptophycin drug-payload and cryptophycin-ADC (CpADC) averaged an 80% cancer cell kill rate across the tested cancer cell lines and significantly outperformed MMAE.

In a broad range of preclinical studies, the cryptophycin-ADC (Cp-ADC) demonstrated promising picomolar level potency and anti-tumor activity in a wide range of solid tumors, including six cancer indications that are being further evaluated. These six indications include: breast, bladder, colorectal, gastric, pancreatic and ovarian cancer. Initial results (Figure 1) have also shown that in high Her2 expressing tumors, Cp-ADC with a DAR of 8 (Tras(C8)-Cp) and DAR of 4 (Tras(C4)-Cp) is more potent than an MMAE ADC with a DAR of 8. MMAE payloads are used in several commercially available anti-cancer ADCs, including Adcetris®, Polivy® and Enhertu®. Additionally, the Cp-ADC with a lower DAR (Tras(C2)-Cp) provides an equivalent tumor kill-rate to that of an MMAE-ADC with a DAR of 8. In a moderate Her2 expressing cell line, the Cp-ADC with a DAR of 8 (Tras(C8)-Cp) was about 10 times more potent than a DAR 8 MMAE-ADC.

The newly developed Cp-ADC showed highly efficient anti-tumor activity in all six cancer cell lines with EC-50 values in the picomolar to single-digit nanomolar range. Additional studies are now being developed to further validate and expand these findings and to obtain a better understanding of the genomic and biomarker correlates of payload efficacy across these tumors.

Kishor Bhatia, Ph.D., Lantern’s Chief Scientific Officer commented, “Our strategic, data-driven approach of utilizing cryptophycin as a highly potent and novel payload alongside the prioritization of biologically novel and relevant targets with scalable and efficient drug conjugate formats will help expand the repertoire and diversity of ADC opportunities.”

Lantern is also utilizing its AI platform, RADR® to further refine and understand other cancer targets, with a focus on prioritizing targets that are expressed across multiple tumor types or subtypes and have few or no therapeutic ADC options. Given the promise of cryptophycin as a payload, Lantern is also focused on the development and testing of two other cryptophycin-ADC molecules. For these selected targets, Lantern is in advanced discussions with potential partners and collaborators with the goal of generating proof-of-concept data for these additional ADCs and potentially other novel drug conjugate formats. Lantern expects to provide additional details on these studies and collaborations in the coming quarters. These efforts aim to improve ADC development for specific patient populations and potentially guide more effective future clinical treatments with less cost and greater efficiency than historical ADC drug development.

On Jan. 17, Starlight Therapeutics— a Lantern Pharma (Nasdaq: LTRN) subsidiary focused exclusively on the clinical development of therapies for central nervous system and brain cancers with limited or no effective therapeutic options— announced that Marc Chamberlain, M.D. has joined Starlight as its Chief Medical Officer. Dr. Chamberlain will oversee Starlight’s clinical operations, which currently include planned clinical trials for glioblastoma and other high-grade gliomas, brain metastases in adults, and atypical teratoid rhabdoid tumors (ATRT), and diffuse pontine glioma (DIPG) in children. In his role, Dr. Chamberlain will apply his significant medical, clinical, and pharmaceutical development expertise to advance Starlight’s AI-enabled and accelerated drug development portfolio. Dr. Chamberlain is a leading medical oncologist with an extensive and distinct background in therapeutic development, clinical practice, and academic research with a focus in adult and pediatric neurology and neuro-oncology. His experience before joining Starlight has included serving as the co-director of the neuro-oncology programs at 4 NCI designated cancer centers— Moores Cancer Center at UC San Diego, Norris Cancer Center at USC, Moffit Cancer Center at the University of South Florida, and Fred Hutchinson Cancer Center at the University of Washington. He has also served as medical director for Cascadian Therapeutics, Seattle Genetics, SystImmune, Angiochem, and Pionyr Immunotherapeutics. We are now preparing for two recurrent glioblastoma studies as part of a larger planned expansion study to assess STAR-001 in subjects who have failed standard-of-care temozolomide and involved field radiotherapy. Shares of Indaptus Therapeutics, Inc. (Nasdaq: INDP) closed at $1.90, +13.02% and is up +.52% at $1.92 in the aftermarket. Indaptus is a company with the ability to harness both the body’s innate and adaptive immune responses, believes that they are uniquely positioned to revolutionize the treatment of cancer and certain infectious diseases. On Jan. 4, Indaptus announced that the European Patent Office (EPO) has informed the company that it will grant a European patent related to the company’s platform technology, covering a composition that can be used in the prevention or treatment of viral infections. The patent, titled “Methods of Treatment of Infections Using Bacteria,” (Application 19 866 580.4) provides protections for the application of the Company’s Decoy technology platform alone or in combination with standards of care for the prevention or treatment of any viral infection. The EPO patent will be the second patent granted to Indaptus outside the United States for this application. Jeffrey Meckler, Indaptus Therapeutics CEO, commented, “The continued protection of our intellectual property both in the U.S. and abroad will provide a competitive advantage for the Company, which should ultimately drive significant shareholder value over time. In pre-clinical studies tumor eradication was observed with Decoy products in combination with anti-PD-1 checkpoint therapy, low-dose chemotherapy, a non-steroidal anti-inflammatory drug, or an approved, targeted antibody. Combination-based tumor eradication in pre-clinical models produced innate and adaptive immunological memory, involved activation of both innate and adaptive immune cells, and was associated with induction of innate and adaptive immune pathways in tumors after only one i.v. dose of Decoy product, with associated “cold” to “hot” tumor inflammation signature transition. IND-enabling, nonclinical toxicology studies demonstrated safe i.v. administration without sustained induction of hallmark biomarkers of cytokine release syndromes, possibly due to passive targeting to liver, spleen, and tumor, followed by rapid elimination of the product. Indaptus’ Decoy products have also produced significant single agent activity against chronic hepatitis B virus (HBV) and chronic human immunodeficiency virus (HIV) infections in pre-clinical models.

On Nov. 6, Indaptus announced interim data from the first cohort of four patients in the Phase 1 INDP-D101 trial of its lead compound, Decoy20. A broad expression of cytokines and chemokines associated with innate and adaptive anti-tumor immune responses was observed, while adverse events were generally tolerable and resolved within 30 minutes to three days. Decoy20 is designed to “re-set” the immune system’s response to cancer. The poster was presented on November 4, 2023, at the Society for Immunotherapy of Cancer in San Diego.

ADT Inc. (NYSE: ADT), the most trusted brand in smart home and small business security,announced (Ja. 24) it will be exiting its residential solar business. The Company will remain focused on cash flow generation and capital-efficient growth within its core security and smart home business. As part of this continued focus, ADT is also advancing its capital allocation strategy, including a cash dividend increase and authorization of a new share repurchase program. Over the first nine months of 2023, ADT’s core business exhibited strong performance, while the solar business faced challenges, including operational difficulties and macroeconomic headwinds causing deterioration of conditions industrywide. As a result of these challenges, the Solar segment generated an Adjusted EBITDA loss of $89 million during this period. Following the previously announced restructuring of its solar footprint and a detailed strategic review, ADT’s Board of Directors has approved the exit of this segment, which may include the transfer of components of the business to other parties. The Company expects to incur certain one-time exit charges and cash expenditures with potential offsets from asset sales or reduced tax expenses. As previously disclosed, as of September 30, 2023, the goodwill balance for the Solar reporting unit was zero. At this time, the Company is still analyzing the estimated net amount or range of amounts expected to be incurred in connection with this plan. Dividend Increase – The Company’s Board of Directors has declared a quarterly cash dividend of $0.055 per share, payable on April 4, 2024, to shareholders of record at the close of business on March 14, 2024. The quarterly dividend represents a 57% increase over the previous quarterly dividend. Share Repurchase Authorization – The Company’s Board of Directors has authorized a $350 million share repurchase program. As the Company executes share repurchases, the Board will periodically review the remaining authorization as part of its capital allocation strategy. Balance Sheet Fortification – Consistent with the plan from its third quarter earnings announcement, on December 29, 2023, the Company repaid $500 million of First Lien Senior Secured Notes due 2024, completing an overall 2023 reduction of ADT’s total debt by approximately $2 billion. Further, following two corporate rating upgrades in 2023, the Company improved borrowing costs and extended debt maturities and in 2024, will have only $150 million of maturities and amortization payments. The Company remains focused on achieving its targeted net leverage ratio of less than 3.0x. Core Investment – On December 20, 2023, the Company closed on a strategic bulk purchase of approximately 57,000 customer accounts for $89 million cash with attractive returns. This portfolio of customers is concentrated in a few key geographies, all of which align with existing platforms, enabling strong economies of scale upon integration. This transaction was not included in prior cash flow guidance. More details and an update on the business will be provided when the Company releases its fourth quarter and full year 2023 results on February 28, 2024. On Jan. 30, Seanergy, through its wholly-owned subsidiary Seanergy Shipmanagement Corp., is the first Greek-based shipping company to accomplish a strategic partnership in the European Union Funded SAFeCRAFT Project Consortium (“Safecraft”), a breakthrough initiative concerning the utilization of alternative fuels.
 On Dec. 14, Seanergy announced  that the Board of Directors of the Company (“BOD”) has authorized a new $25 million buyback program (the “Plan”) which can be utilized to repurchase the Company’s common shares and other securities. The Company will also fully repay its last remaining convertible note (the “Note”) pursuant to the terms of the Note. The Note bears a 5.5% coupon, it is the last from a series of convertible notes with aggregate original notional amount of $38.7 million and $3.2 million face value remains outstanding. On Feb. 16, Modular Medical announced that it has priced its underwritten public offering (the “offering”) of 9,090,910 shares of its common stock, led by Manchester Explorer, L.P., which is managed by Jeb Besser, Modular Medical’s Chief Executive Officer, and Morgan Frank, a member of the Company’s board of directors, and other existing institutional investors. The shares of common stock are being sold at a price to the public of $1.10 per share. In addition, Modular Medical has granted the underwriter a 30-day option to purchase up to 1,321,989 additional shares of its common stock. Titan Partners Group, a division of American Capital Partners, is acting as sole book-running manager for the offering. The gross proceeds to the Company from the offering are expected to be approximately $10 million, before deducting underwriting discounts, commissions and estimated offering expenses payable by the Company. The Company intends to use the net proceeds from the offering to fund operations and for working capital and general corporate purposes, including capital expenditures. The offering is expected to close on or about February 21, 2024, subject to the satisfaction of customary closing conditions.
 
On Jan. 24, Modular Medical announced the issuance of U.S. Patent 11,817,197 B2 for the stream-lined pairing of a pump to a mobile device. Paul DiPerna, Chairman and CTO of Modular Medical, commented, “The issuance of this patent is just another step in our mission to use technology to rethink and simplify the adoption of and ability to live with pump technology for patients and caregivers. To address cybersecurity risks and the complexity of pairing multiple devices to talk between a phone and a pump, we added Near-Field Communication (NFC), whereby, just by bringing the phone close to our pump will create a secure connection making it much easier to develop, test and maintain. This patent protects our technology addressing pairing, and, most importantly, the downloading of patient data to allow clinicians to easier upload and review the patients data. The patient’s phone is not required, and a clinician can simply tap the pump to the phone or tablet to pull the data using Bluetooth from patient pumps. In a high-volume practice, such as a busy certified pump trainer’s office, the ability to pull data from several patients quickly is critical. Our patented technology addresses the ability to do this without the tedious step of powering on and pairing with a myriad of new Bluetooth devices. On Jan. 19, Modular Medical announced the premarket submission of its MODD1 next-generation insulin pump to the FDA for 510(k) clearance. “This is an exciting milestone for the Company, as we seek to change the diabetes market. Almost 30 years after the introduction of the first insulin pump, more than three quarters of those who could benefit from wearing a pump do not wear one. It is our belief that our simplified design will encourage many “almost-pumpers” to adopt technology to aid in their diabetes management, without the complexity and expense required by many of the current solutions,” said Paul DiPerna, Chairman and CTO of Modular Medical.

Jeb Besser, CEO of Modular Medical, stated “Getting a person who requires daily insulin to adopt a pump instead of multiple daily injections can reduce healthcare costs and improve long-term patient outcomes. Pump adoption has been impeded by the ‘three-Cs:’ they are too complex, cumbersome and costly. The MODD1 was designed to be simple and affordable with an attractive form factor. We believe our two-part patch pump design, easy to learn interface and scalable manufacturing will all contribute to a differentiated and lower cost marketing approach. On behalf of the board of directors, I would like to thank the entire Modular Medical team, and all of our stakeholders and shareholders for their support in reaching this point. We expect to receive initial questions from the FDA during the quarter ending June 30, 2023, and we will provide updates, as appropriate. While working with the FDA to gain US clearance, our regulatory effort will now turn to preparing applications to obtain the UKCA mark to enable us to market the MODD1 in the United Kingdom. Operationally, we will move our pilot production line to our manufacturing partner to prepare for commercial launch.”

On Dec. 21, Modular Medical announced a collaboration agreement with Glooko, Inc., a global leader specializing in connected care and remote patient monitoring for diabetes. Integrating with Glooko will allow clinicians and patients to easily review insulin dosing data from the MODD1 pump, when commercially available. In addition, through Glooko’s platform, Dexcom CGMS users will be able to view their glucose levels in the same accessible format in conjunction with their pump data. Glooko’s platform has a broad installed base, which has been deployed in over 30 countries and 8,000 clinical locations.
