I hope that you have experienced great success today. 

As for the broad markets on the second to the last day of Q1, there was a positive move overall in the markets as the large cap indices indices closed in the green, but the small caps on the Russell failed to do so. The yield curve was somewhat diverged today with the 2-yr yield moving up 4 bps to 4.11% & the 10-yr yield moved down 1 bp at 3.55%. The U.S. Dollar Index dropped another .5% to end at 102.14. The macroeconomic schedule provided the Initial jobless claims report for the week ending March 25 confirming a 7k rise to 198k & the continuing jobless claims report for the week ending March 18 also clocked in with a 4k rise to 1.689M. The third estimate for Q4 GDP was revised slightly lower to 2.6%.  The GDP Price Deflator remains at 3.9%, The personal consumption expenditures index also stayed flat at 3.7%, however the core-PCE Price Index got pushed up slightly to 4.4%. The weekly EIA Natural Gas Inventories report confirmed a 47 bcf draw. Oil prices jumped 1.95% closing at $74.39. Tomorrow’s schedule will be one to watch as the February PCE Price Index report will surface giving us another look at the inflation picture. The bank watch was overall on the pessimistic side of the coin today as the financial sector fell .3% and was the lone sector to close in the red. The SPDR Regional Bank ETF (KRE) moved lower by 2.03% to close at $43.43, while First Republic Bank (FRC) closed at $13.69, -4%. Jamie Dimon’s JPMorgan (JPM) also closed trading lower at $128.75, -.30%. 

The S&P 500 moved higher closing at 4,050.83 (+.57%) with 10 of the 11 sectors closing in the green. The 1.2% gain by the real estate sector & the 1.1% gain by the information technology sector led all. The heavily-weighted technology giant Apple (AAPL) moved up by .99% closing at $162.36. Apple® announced it will host its annual Worldwide Developers Conference (WWDC) in an online format from June 5 through 9, 2023, with an opportunity for developers and students to celebrate in person at a special experience at Apple Park on opening day. Free for all developers, WWDC23 will spotlight the latest iOS, iPadOS®, macOS®, watchOS®, and tvOS® advancements. As part of Apple’s ongoing commitment to helping developers create innovative apps, the event will also provide them with unique access to Apple engineers, as well as insight into new technologies and tools to help them realize their visions. EV-maker Tesla (TSLA) closed the day up .72% to close at $195.28 after hitting $197.33 during intraday trading. The Wall Street Journal reported that Elon Musk, along with AI experts are calling for at least  a 6-month pause in the technology’s development as they believe that safety standards need to be set. In EV news Ford (F, $12.29, +1.99%) announced that it is raising the initial pricing of its F-150 Lightning EV Pro to $61,860!

The Dow 30 closed at 32,859.03 (+.43%) as Dow component Disney (DIS) closed at $98.10, +1.27%. Disney’s CEO Bob Iger announced the commencement of mass layoffs on Monday, a part off their plans to cut 7k employees a process thought to shave $5.5B in costs. The annual meeting of shareholders of The Walt Disney Company will be available live via webcast at www.disney.com/investors beginning at 1:00 p.m. ET/ 10:00 a.m. PT on April 3, 2023. Nike (NKE) moved lower to close the day at $120.10, -.32% after yesterday’s +2% gain. Last week, Nike released its third quarter ended February 28, 2023 that beat expectations. Third quarter reported revenues were $12.4 billion, up 14 percent compared to the prior year and up 19 percent on a currency-neutral basis. NIKE Direct sales were $5.3 billion, up 17 percent on a reported basis and up 22 percent on a currency-neutral basis. NIKE Brand Digital sales increased 20 percent on a reported basis, or 24 percent on a currency-neutral basis. Intel Corporation (INTC, $31.52,+7.61%) held an investor webinar today to provide an update on the company’s Data Center and AI business and its growth drivers, and to review its data center product roadmap. The Nasdaq moved up over 12k today as techs led the way and closed at 12,013.47 (+.73%), while Cathie Wood’s ARK Innovation ETF (ARKK) pulled back by .29% to close at $38.48.  

The growth oriented small caps moved lower today as trading volumes decreased, while the Russell 2000 closed at 1,767.36 (-.23%). The MicroCaps ended in the red broadly as the Micro-cap ETF (IWC) closed at $102.75, -.65%.

Biotech stocks, on the lower end of the spectrum, also turned red today as the SPDR S&P Biotech ETF (XBI) closed off 2.16% to close at $74.67.  The 52-wk range is $61.78 – $97.19. On the larger side of the biotech market, The iShares Biotechnology ETF (IBB) also moved lower to close at $127.23, -.47%. The 52-range is $104.29 – $138.74. 

The iShares U.S. Healthcare ETF (IYH) closed at $269.76, +.53%.  

Around the crypto and precious metals’ tree, Bitcoin (BTC) traded down .90% at $28,122,32 over the last 24 hours at the time of this writing. Gold prices closed at $1,998/oz., +$13.50/oz. & silver closed at $24.045/oz., +$2.47/oz. on the day. Two mining producers closed the day as follows: Hecla Mining Company (HL) closed at $6.35, +3.08% & First Majestic (AG, $7.21, +4.95%).



FURTHER AFIELD

Shares of C3 AI (NYSE: AI), the Enterprise AI application software company, closed at $27.63, +6.35%. On March 28, AI announced that it has been recognized as one of the Fastest Growing Companies of 2023 by The Financial Times. This apparently marks the third consecutive year on this prestigious list for C3 AI.

Shares of Chevron Corporation (NYSE: CVX) closed at $162.39, +.85%. Note that Reuters reported that California can begin regulating how much profit the state’s oil refiners can earn on selling gasoline beginning this summer as the governor singed a new law on Tuesday. Did you know that Warren Buffett’s Berkshire fund owned 162,975,771 shares of Chevron as the of 2022 and it fell in the Top 3 of his holdings? 

Shares of ADT Inc. (ADT), the most trusted brand in smart home and small business security, closed at $7.16, -.28%. On March 28, ADT announced the availability of the new ADT Self Setup smart home security system – its most advanced and complete DIY system ever and the first fully integrated DIY offering from ADT and Google (GOOG, $110.90, +.53%). ADT Self Setup integrates Google Nest smart home products with ADT security and life safety technology as well as ADT SMART Monitoring – all with the convenient control of the new ADT+ app.

Shares of Seanergy Maritime Holdings Corp. (SHIP), the only pure-play Capesize ship-owner publicly listed in the US. Seanergy provides marine dry bulk transportation services through a modern fleet of Capesize vessels, closed at $5.02, -2.43%. On March 14, Seanergy announced its financial results for the fourth quarter and twelve months ended December 31, 2022. The Company also declared a quarterly dividend of $.025 per share for the fourth quarter of 2022. Total buybacks of common shares and convertible securities of $35.5 million since December 2021.



MEMES CENTRAL

Memes stock GameStop Corp. (GME) closed at $22.50,+.18% as the shorts lost the ongoing daily battle. GME released financial results for the fourth quarter and fiscal year ended January 28, 2023 yesterday after the close soundly beating earrings expectations coming in with Q4 adjusted profit of 16 cents vs. expected loss of 15 cents/share. Net sales were $2.226 billion, compared to $2.254 billion in the prior year’s fourth quarter. Selling, general and administrative (“SG&A”) expenses were $453.4 million, or 20.4% of sales, compared to $538.9 million, or 23.9% of sales, in the prior year’s fourth quarter. Net income was $48.2 million, compared to a net loss of $147.5 million for the prior year’s fourth quarter.

Shares of AMC, the largest movie exhibition company in the United States, the largest in Europe and the largest throughout the world with approximately 950 theaters and 10,500 screens across the globe, closed at $4.97, -.60% and APE closed at $1.40, -3.45% as the ‘APE’ Conversion was approved by Shareholders last week.


 
VP WATCHLIST UPDATES 

The multi-billion-dollar global fertility market is predicted to reach approximately US$47.9 billion by 2030, yet remains severely underserved with many patients (upwards of 90% by many estimates) unable to access affordable treatment. INVO Bioscience, Inc. (NASDAQ: INVO) offers the INVOcell solution which provides an advanced, effective and affordable infertility treatment to help increase access to care. INVO is commercially advancing INVOcell through the opening of INVO Centers, opportunistically now pursuing acquisitions of established fertility (IVF) clinics in the U.S., and continuing to offer the technology to existing fertility practices.

After the close today, March 30, INVO announced preliminary financial results for the fourth quarter and year ended December 31, 2022. The Company expects total revenue in the fourth quarter of 2022 to reflect a sequential increase of approximately 15% to 19%. Read the balance of the release here. 

Shares of INVO Bioscience closed at $.6003. On March 27, INVO Bioscience announced announced the closing of its previously announced registered direct offering of 3,680,000 shares of common stock (or pre-funded warrants in lieu thereof), priced at-the-market under Nasdaq rules. In a concurrent private placement, the Company also issued warrants to purchase up to an aggregate of 5,520,000 shares of common stock. The combined effective offering price for each share of common stock (or pre-funded warrant in lieu thereof) and warrant is $.815. The warrants are immediately exercisable, expire on the eight-year anniversary of the issuance date and have an exercise price of $0.63 per share. Maxim Group LLC is acting as the sole placement agent for the offering.

On Monday, March 20, INVO announced that they have signed binding agreements to acquire Wisconsin Fertility Institute, a materially transformative acquisition. The Madison-based fertility center primarily offers conventional IVF procedures and generated approximately $5.5 million in revenue and net income of approximately $1.9 million for the trailing 12-month period ended September 30, 2022. Wisconsin Fertility Institute is one of the state’s preeminent fertility centers, having helped to welcome over 5,000 babies since opening its doors in 2007 and with approximately 550 conventional IVF procedures completed in 2022. Wisconsin Fertility Institute is led by internationally renowned and well-respected fertility expert, Dr. Elizabeth Pritts, who will continue to serve as the clinic’s lead physician for a minimum period of three years from the closing of the acquisition. Dual-certified in General Obstetrics and Gynecology, as well as Reproductive Endocrinology and Infertility, Dr. Pritts completed a surgical fellowship in Advanced Gynecologic Laparoscopy and Hysteroscopy. She is also a national leader in the use of robotic surgery for gynecologic disorders. Dr. Pritts served as an assistant professor in reproductive endocrinology and infertility at the University of Wisconsin Medical School, as a clinical fellow at the University of California at San Francisco, and as an instructor at Yale University School of Medicine. On Jan. 16, BioSpectrum published an article titled “INVO Bioscience introduces next-gen technologies to fertility market in Taiwan.”

On Jan. 5, INVO Bioscience announced it has entered an exclusive distribution agreement with Ming Mei Technology Co. Ltd (“Ming Mei”) for Taiwan. The agreement will have an initial 1-year term with renewals. Ming Mei is a leading distributor of fertility-based devices and components in Taiwan helping to bring the latest and most advanced medical equipment into the region. Ming Mei estimates it has approximately 90% coverage of reagents and consumables in the reproductive medicine market in Taiwan. With strong customer relationships in the region, and their familiarity with the field of reproductive medicine, Ming Mei is ideally suited to expand distribution of INVOcell in Taiwan. Taiwan is a destination for assisted reproductive technology (ART) throughout Asia and also has the lowest birthrate in the world. Taiwan’s birth rate has dropped as a result of similar trends elsewhere in Asia, such as later marriage and increasing cost of living. Further, the average age of patients requiring therapy is rising. Fortunately, according to the statistics published by “ICMART”, the overall implantation rate of therapy in Taiwan ranked second worldwide, almost equal to the level in the U.S., and a leading country in Asia. The stable high success rate derives from updated medical research and enriched clinical experience from the physicians, advanced laboratory facilities and technology as well as patient-centered customized treatment plans (depending on their age, ovarian functions and causes of infertility, etc.). Prior to the pandemic, in 2019 there were approximately 55,000 ART cases in Taiwan, an increase of approximately 55% compared to 2016. In July 2021, the government in Taiwan implemented a subsidy plan for ART with the goal of encouraging more local married couples to undergo ART treatments. The subsidies are also available to transnational couples in which one spouse holds a Taiwanese ID card.

On Jan. 3, INVO announced it has signed an agreement with Shelly W. Holmström, M.D. FACOG, to serve as the physician operator for the Company’s soon to be opened Tampa, Florida INVO Center.

Today, shares of InMed Pharmaceuticals Inc. (Nasdaq: INM) closed at $1.21, +4.31%. 

  • On March 28, InMed announced it has concluded enrollment of its Phase 2 clinical trial using investigational drug INM-755 cannabinol (“CBN”) cream for the treatment of patients with epidermolysis bullosa (“EB”), a rare genetic skin disease. The Phase 2 study, called INM-755-201-EB, enrolled 19 patients. All four subtypes of inherited EB, including EB Simplex, Dystrophic EB, Junctional EB, and Kindler Syndrome were accepted into the trial. The clinical trial is evaluating the safety of INM-755 cannabinol cream and its preliminary efficacy in treating symptoms of itch, pain, and wound healing in patients with epidermolysis bullosa. The study used a within-patient, double-blind design whereby matched index areas are randomized to INM-755 (cannabinol) cream or vehicle cream as a control. Results from this Phase 2 study of INM-755 CBN cream are expected to be released early calendar Q3 2023. “Enrollment completion of this Phase 2 clinical trial of a cannabinol formulation represents an important milestone for InMed and the scientific community studying rare cannabinoids,” said Eric A. Adams, InMed’s President and CEO. “As a class of compounds, we believe cannabinoids hold tremendous therapeutic potential for their innate interaction with the body, however, to date there have been limited evidence-based studies investigating their effects. Taking a rare cannabinoid formulation through several Ph 1 and Ph 2 clinical trials has been a major undertaking. We look forward to the data read-out in the summer, so we can evaluate our strategic options and next steps.”
  • On Feb. 17, InMed announced financial results for the second quarter of fiscal year 2023 which ended December 31, 2022 and highlighted that they closed calendar year 2022 with strong cash position of $11.5 million, that they are approaching completion of enrollment for Ph 2 clinical trial in EB, & that they are advancing research using rare cannabinoids in treating glaucoma and neurodegenerative diseases such as Alzheimer’s, Huntington’s and Parkinson’s. Today, shares of Borqs Technologies, Inc. (Nasdaq: BRQS) closed at $.2544,+4.08% and traded 336,120 shares. The 52-week range is $.1930 – $7.36.  

  • On March 27, Lendlease, a leading real estate and investment group that manages almost 8,000 homes for the U.S. Army on Oahu, and Holu Hou Energy (HHE), a provider of design-to-service solar plus energy storage systems, have signed a contract to install HHE’s HoluPower energy storage and solar photovoltaic (PV) systems on homes at Lendlease’s Island Palm Communities. The installations will come in the form of HHE’s EnergyCluster, where multiple residential units have their systems connected in an energy network or “cluster.” Excess solar generation from any unit’s system in the network that would normally be lost is directly shared in real-time with other connected units that have load above solar generation. The benefit is that the optimized PV and energy storage systems can meet 75-80% or more of the overall residents’ energy needs while not exporting power to the utility grid.
  • On March 23, Borqs announced that the Company has appointed Donald R. Kendall, Jr. as the sole trustee (the “Trustee”) to a divestment trust established to manage the orderly divestment of Borqs’ ownership of Holu Hou Energy, LLC, (“HHE”) as required by the Committee on Foreign Investment in the United States (“CFIUS”). Mr. Kendall has an extensive background of over four decades in investment management, including his role as the Chairperson of the Special Committee of the Board of Directors of SolarCity supervising the sale of SolarCity to Tesla, Inc. in 2016 for $2.6 billion. Mr. Kendall currently serves as the Managing Director and CEO of Kenmont Capital Partners, LP, an investment management firm with an emphasis on energy, alternative energy and transportation and General Partner of New Climate Ventures, an early-stage venture capital fund that invests in innovative early-stage startups with a focus on carbon avoidance and reduction.Mr. Kendall currently serves on the board of Talos Energy Inc. and has served on the boards of SolarCity Corporation, American Midstream Partners, LP, Stream Gas & Electric, Ltd., and Syzygy Plasmonics Inc. “We’re very excited and honored to have Don accepting the appointment to head up the sale of our solar subsidiary. HHE has been growing its share in the Hawaiian solar market significantly since Borqs’ acquisition in October 2021. We believe HHE’s unique EnergyShare solution also has tremendous potential in California and the other parts of the U.S. With Don’s vast experiences in the energy industry, I have no doubt that he will be able to orchestrate a successful divestment for us and find a suitable partner for HHE, while adhering to all applicable CFIUS requirements.   • On March 13, Borqs announced that the Company has entered into the two/three-wheelers automotive space by developing the smart cluster dashboard and has successfully demonstrated the newly developed unit during the 2023 January CES Exhibition. The new smart cluster dashboard is installed on a two-wheeler and connected to the internet via the cellular network. The Company is partnering with Faspro Systems who will assist Borqs in sales and also support deployment in the region. As of October 2022, there are 14.38 million motorcycles and 8.43 million cars registered in Taiwan. That is, about 62 percent of Taiwanese 23.19 million population currently own a scooter. Full Year 2022 sales have been 752,631 units. The electric vehicle segment is growing moderately. he smart cluster dashboard, developed by Borqs’ design team, supports global cellular bands, dual-band Wifi and GPS. The unit enables the connected 2-wheeler to provide mobile telephony, data connectivity, vehicle diagnostics, location services, remote vehicle control, battery management, and sensing capabilities. Through a companion application on a smart phone, a user can locate and control the 2-wheeler, locate near-by charging/gas stations, etc. Connected to a cloud, a whole set of analytics and guidance can be provided to various stake holders. The smart cluster dashboard is modular in architecture and has ample I/Os for any custom design.   • On March 8, Borqs announced that the Company has won a contract with a prominent North American company to develop and manufacture an Android 5G rugged waterproof handheld device to be deployed in industries such as agriculture, oil and mining, utilities and safety, etc. The device will feature a long-life 5G chipset that can be used until 2030. The Company has signed multiple contracts with the same customer to develop a suite of enterprise class rugged devices which will be launched initially in the North American and European markets, to be followed by other countries.
  • On March 6, Borqs announced its preliminary revenue for the year ended December 31, 2022 where the Company expects total revenue for the year ended December 31, 2022 to be $53-58 million, increased by over 79% compared to $29.6 million for the year ended December 31, 2021, driven by increased IoT sales globally and revenues from Holu Hou Energy (HHE), Borqs’ solar energy storage system subsidiary. Reportedly, while the revenue from Borqs’ IoT business is expected to be more than 80% of the total revenue, the HHE’s revenue has also increased significantly. The Company has not yet finalized its financial results for the full year ended December 31, 2022. These preliminary financial results reflect the company’s current estimates, based on information available to management as of the date of this release, and are subject to further changes upon completion of the company’s year-end closing and audit procedures.

As Borqs previously announced, the Company is in the process of negotiation with the U.S. government to divest their solar energy storage system subsidiary, Holu Hou Energy (HHE). The agreement with the Committee on Foreign Investment in the United States (“CFIUS”) is expected to be signed in March. HHE is considered a top ten solar energy storage supplier in Hawaii, and has been increasing its market share. The Company intends to divest this subsidiary based on the terms and timing in the agreement to be reached with CFIUS. In the meantime, the Company has been in active discussions with potential nationally recognized investment bankers that will be involved for the divestiture. Since Borqs’ financial support in HHE starting from October 2021, HHE has signed approximately $60 million in contracts as of the date of this press release and has a growing pipeline approaching half a billion dollars. Borqs believes this voluntary mitigation will enable the tremendous inherent value of HHE to be realized and that the divestment can be a profitable transaction for Borqs’ shareholders. 

  • On Dec.8, Borqs announced its subsidiary, Holu Hou Energy (HHE), has received multiple purchase orders for its HoluPower xP solar energy storage systems for installation at homeowner locations in the Greater San Diego area in California. These orders represent the first for the Company in California. Whereas in Hawaii HHE works to develop and construct Single-Family Residential projects as an “end to end” provider, the Company will target the California homeowner market through already existing channel partners that will sell and construct the projects. For Multi-Dwelling Unit (MDU) Residential properties in the State, the Company will initially target apartment owners, REITs and other MDU stakeholders directly, then partner with existing licensed contractors for system construction. HHE has been focused on the Hawaii market since it began commercial shipments in 2020, in order to become successfully established in the largest market in the United States based upon solar installation penetration. Now it is turning to California, the largest market in terms of size of available opportunity. HHE recently completed the testing and documentation required for the HoluPower xP to be listed as an approved product by the California Energy Commission. The Company expects to be listed by early January 2023, after which permitting and installations can commence. In Hawaii, Holu Hou Energy has quickly become a leader for solar energy storage systems in the Single-Family Residential market, and has essentially created the previously untapped Multi-Dwelling Unit (“MDU”) Residential market for renewable energy by virtue of its “EnergyShare” technology.   • According to a recent research report by BloombergNEF (BNEF), global energy storage installations are projected to reach a cumulative 411 gigawatts (or 1,194 gigawatt-hours) by the end of 2030, 15 times the 27GW/56GWh of storage that was online at the end of 2021. The anticipated accelerated growth of the US market follows the passage of the Inflation Reduction Act in August 2022. Besides the United States, many of other largest power markets in the world such as the EU, China and India have all passed legislation that incentivizes energy storage deployments.

On March 21, Atossa and Quantum Leap Healthcare Collaborative™ announced that Atossa’s proprietary Selective Estrogen Receptor Modulator (SERM), (Z)-endoxifen, will be evaluated in a new study arm of the ongoing I-SPY 2 clinical trial. The I-SPY 2 TRIAL evaluates neoadjuvant treatments for locally advanced breast cancer and is a collaborative effort among academic investigators from major cancer research centers across the United States, Quantum Leap Healthcare Collaborative, the U.S. Food and Drug Administration, and the Foundation for the National Institutes of Health (FNIH) Cancer Biomarkers Consortium. Approximately 20 patients will be treated with (Z)-endoxifen for up to 24 weeks prior to surgery.

On March 23, Beam Global announced the execution of a line of credit with supply chain solutions specialist, OCI Group, based in London, UK. OCI is highly experienced in accelerating business performance for high-growth-potential organizations. The credit facility is non-dilutive and inexpensive, priced at SOFR (Secured Overnight Financing Rate) plus 300 basis points. Beam Global intends to use the funds to provide working capital to support the Company’s rapid growth in product orders and deliveries. The facility is a five year agreement and is effective and active immediately, as per transaction documents. There is no minimum use requirement and OCI and Beam Global have agreed that the $100M cap can be increased if needed.

On Tuesday, the advanced report for international trade in goods confirmed a $91.6B deficit in February, while the advanced report for retail inventories came in with a .8% build in February, & the advanced report for wholesale inventories was at a .2% build in February. The FHFA Housing Price Index report showed a .2% rise in January & the S&P Case-Shiller Home Price Index report came in with a 2.5% increase in January. The Conference Board’s Consumer Confidence Index report for March also surprisingly moved up to 104.2.

On Wednesday, the weekly MBA Mortgage Applications Index report confirmed a 2.9% gain as purchase applications moved up 2%, but down a whopping 35% Y/Y & refinancing applications jumped 5%, but is also down a whopping 61% Y/Y. The weekly EIA Crude Oil Inventories report also came in with a 7.49M barrel draw.
